Net Carry Adjustment definition

Net Carry Adjustment. As defined in Section 4(b).
Net Carry Adjustment means an amount (which may be a negative number) equal to (a) the difference between (i) the product of (A) the rate of interest to be borne by the related Security multiplied by the aggregate principal amount of the Related Mortgage Loans evidenced by the related Participation Certificate, and (B) the number of days in the period beginning on the Issuance Date of such Security, but excluding the related Settlement Date, and
Net Carry Adjustment. An amount (which may be a negative number) equal to the product of (A) the quotient of (1) the number of days in the period beginning on the Purchase Date and ending on the day prior to the Settlement Date, inclusive, divided by (2) 360 and (B) the difference between (1) the product of (x) the weighted average (by principal balance) of the mortgage interest rates borne by the Mortgage Loans in the applicable Mortgage Pool and (y) the aggregate principal balance of such Mortgage Loans and (2) the product of (x) the weighted average (by principal balance) of the Pass-Through Rates of the Mortgage Loans in the applicable Mortgage Pool and (y) the Purchase Price for such Mortgage Pool.

Net Carry Adjustment. The meaning assigned thereto in the Pricing Side Letter.
Net Carry Adjustment means an amount (which may be a negative number) equal to (a) the difference between (i) the product of (A) the rate of interest to be borne by the related Security multiplied by the aggregate principal amount of the Related Mortgage Loans evidenced by the related Participation Certificate, and (B) the number of days in the period beginning on the Issuance Date of such Security, but excluding the related Settlement Date, and (ii) the product of (A) the daily application of the applicable Transaction Rate to the Purchase Price, and (B) the number of days in the period beginning on the date of the purchase of the related Participation Certificate under this Agreement, but excluding the related Settlement Date, (b) divided by 360.

Related to Net Carry Adjustment

  • CPI Adjustment means the quotient of (i) the CPI for the month of January in the calendar year for which the CPI Adjustment is being determined, divided by (ii) the CPI for January of 2007.

  • Net Adjustment Amount means an amount, which may be positive or negative, equal to the Closing Net Working Capital as finally determined pursuant to this Section 2.9 minus the Preliminary Net Working Capital as set forth on the Preliminary Closing Statement;

The initial Interest Adjustment Rate is the interest adjustment rate specified in the Table (the "Initial Interest Adjustment Rate").The Issuer may adjust, in its reasonable discretion pursuant to §315 BGB and in consideration of the relevant capital market practice and by acting in good faith (including market interest rates and the interest-rate expectations of the market), the Interest Adjustment Rate, including the Initial Interest Adjustment Rate, on any Scheduled Trading Day within the range (deviation (+) or (-)) specified in the Table for any given Security. The adjusted rate will be published without undue delay in accordance with §12.

  • Price Adjustment means any and all price reductions, offsets, discounts, rebates, adjustments, and or refunds which accrue to or are factored into the final net cost to the hospital outpatient department or ambulatory surgical center.

  • Closing Adjustment Amount shall have the meaning set forth in Section 2.3(b)(i)(A).

  • SOFR Adjustment means 0.10% (10 basis points) per annum.

Contracting Officer shall make prompt written acknowledgment of such notice, indicating concurrence with the number of days in the notice or the number of days Forest Service considers as qualifying for the adjustment. Lost portions of days shall be disregarded in computing time lost. The three circumstances qualifying for a Contract Term Adjustment are:

  • Net Working Capital Adjustment means (a) the amount by which Net Working Capital as of immediately prior to the Closing exceeds Target Net Working Capital or (b) the amount by which Net Working Capital as of immediately prior to the Closing is less than Target Net Working Capital, in each case, if applicable; provided, that any amount which is calculated pursuant to clause (b) above shall be deemed to be a negative number.

  • Final Adjustment has the meaning set forth in Section 10.3.B(2) hereof.
