Examples of Mortgage Administrative Agent in a sentence

  • In addition to the rights granted elsewhere in this Mortgage, Administrative Agent may at any time notify the account debtors or obligors of any accounts, chattel paper, general intangibles, negotiable instruments or other evidences of indebtedness included in the Collateral to pay Administrative Agent directly.

  • It is agreed that if Administrative Agent should institute a suit for the collection of the Secured Indebtedness and for the foreclosure of this Mortgage, Administrative Agent may at any time before the entry of a final judgment in said suit dismiss the same, and require Trustee, his substitute or successor to sell the Property in accordance with the provisions of this Mortgage.

  • In addition, in connection with each Refinancing Mortgage, Administrative Agent, at the request and expense of Borrower, will provide subordination, non-disturbance and attornment agreements and intercreditor and/or subordination agreements with respect to any other Debt secured by the related mortgaged property, in each case in form and substance reasonably satisfactory to Administrative Agent.

  • At least seven (7) Banking Days prior to the recordation of any Refinancing Mortgage, Administrative Agent shall provide all of the applicable Banks requested to make such refinancing or acquisition Loans with a legal description and special flood hazard determination form for all property proposed to be encumbered thereby.

  • The Policies described in Section 8.1.1(a), (c), (d) and (f) of the Mortgage Loan Agreement (other than those strictly limited to liability protection) shall designate Administrative Agent as a loss payee, subject to the rights of Mortgage Administrative Agent and Mortgage Lender under the Mortgage Loan Documents.

  • Lender and Mortgage Administrative Agent on behalf of Mortgage Lender are parties to a certain intercreditor agreement dated as of the date hereof (the “Intercreditor Agreement”) memorializing their relative rights and obligations with respect to the Loan, the Mortgage Loan, Borrower, Mortgage Borrower, the Collateral and the Property.

  • Fund’s investments in securities are recorded at their estimated fair value utilizing valuation methods approved by the Board of Directors/ Trustees.

  • If Administrative Agent shall receive a copy of any notice of default under the Mortgage Loan Documents sent by Mortgage Administrative Agent, such notice shall constitute full protection to Lender for any action taken or omitted to be taken by Administrative Agent, in good faith, in reliance thereon.

  • If Administrative Agent at any time shall deliver any such notice to Borrower, Borrower shall within ten (10) Business Days of delivery thereof, deposit with Mortgage Administrative Agent (with evidence of the same to Administrative Agent) an amount equal to such Shortfall.

  • If any action, proposed action or other decision is consented to or approved by Mortgage Administrative Agent, such consent or approval shall not be binding or controlling on Administrative Agent.
