Term Loan Administrative Agent definition

Term Loan Administrative Agent means the administrative agent under the Term Loan Agreement

Term Loan Administrative Agent means Bank of America, in its capacity as administrative agent under the Term Loan Credit Agreement, and its successors and assigns in such capacity.

Term Loan Administrative Agent has the meaning specified in the preamble to this Agreement.

• The entries in the Term Register shall be conclusive absent manifest error, and the Borrowers, the Term Loan Administrative Agent and Term Lenders, shall treat each Person whose name is recorded in the Term Register pursuant to the terms hereof as a Term Lender hereunder for all purposes of this Agreement, notwithstanding notice to the contrary.

• If the Borrowers shall repay to the Term Loan Administrative Agent such corresponding amount, such payment shall not relieve such Term Lender of any obligation it may have hereunder to the Borrowers.

• If such Term Lender shall repay to the Term Loan Administrative Agent such corresponding amount, such corresponding amount so repaid shall constitute such Term Lender’s Term Loan as part of such Borrowing for purposes of this Agreement.

• Each Loan Party shall be the sole account holder of each Deposit Account and shall not allow any other Person to have control (as defined in the Uniform Commercial Code) over a Deposit Account or any Property deposited therein (other than the Collateral Agent and the Term Loan Administrative Agent).

• Each reference herein to “the applicable Administrative Agent” and each similar reference shall be a referenced to (i) with respect to the Revolving Facility and the Revolving Credit Lenders, the Revolving Facility Administrative Agent and (ii) with respect to any Facility other than the Revolving Credit Facility and any Lenders other than the Revolving Credit Lenders, the Term Loan Administrative Agent.

More Definitions of Term Loan Administrative Agent

Term Loan Administrative Agent shall have the meaning set forth in the recitals hereto.

Term Loan Administrative Agent means Barclays Bank PLC in its capacity as the “Administrative Agent” under the Term Loan Agreement, together with any successors in such capacity.
