Mixed Entity definition

Mixed Entity shall have the meaning set forth in Section 2 hereof.
Mixed Entity means (i) any AgCo Entity for the Tax Period(s) or portions thereof, if any, prior to such AgCo Entity being an AgCo Only Entity and (ii) any SpecCo Entity for the Tax Period(s) or portions thereof, if any, prior to such SpecCo Entity being a SpecCo Only Entity.

  • Each Hypothetical Legal Entity shall be treated as owning the assets, being primarily responsible for the liabilities, and having the Tax attributes comparable to those of the Mixed Entity with which the Hypothetical Legal Entity is Associated.

  • The stock or interests in a Hypothetical Legal Entity shall be treated as represented by the stock or interests in the Mixed Entity with which the Hypothetical Legal Entity is Associated.

  • Approved Entity means a body corporate which, on the occurrence of the Takeover Event and thereafter, has in issue Approved Entity Shares.

  • Hybrid Entity means a single legal entity that is a covered entity and whose business activities include both covered and non-covered functions, and that designates health care components in accordance with 45 C.F.R. § 164.105(a)(2)(iii)(C).   • Consolidated Entity means at any date any Subsidiary, and any other entity the accounts of which would be combined or consolidated with those of the Borrower in its combined or consolidated financial statements if such statements were prepared as of such date.

  • Partnership Subsidiary means Host LP and any partnership, limited liability company, or other entity treated as a partnership for federal income tax purposes or disregarded as a separate entity for federal income tax purposes in which either Host REIT or Host LP owns (or owned on or after January 1, 1999) an interest, either directly or through one or more other partnerships, limited liability companies or other entities treated as a partnership for federal income tax purposes or disregarded as a separate entity for federal income tax purposes (whether or not Host REIT or Host LP has a controlling interest in, or otherwise has the ability to control or direct the operation of, such entity).   • Joint Venture Subsidiary means a Subsidiary of the Company or any of its Subsidiaries that has no assets and conducts no operations other than its ownership of Equity Interests of a Joint Venture.

  • Unconsolidated Affiliate means, with respect to any Person, any other Person in whom such Person holds an Investment, which Investment is accounted for in the financial statements of such Person on an equity basis of accounting and whose financial results would not be consolidated under GAAP with the financial results of such Person on the consolidated financial statements of such Person.

  • Group Member means a member of the Partnership Group.

  • Permitted Entity means with respect to a Qualified Stockholder (a) a Permitted Trust (as defined below) solely for the benefit of (i) such Qualified Stockholder, (ii) one or more Family Members of such Qualified Stockholder and/or (iii) any other Permitted Entity of such Qualified Stockholder, or (b) any general partnership, limited partnership, limited liability company, corporation or other entity exclusively owned by (i) such Qualified Stockholder, (ii) one or more Family Members of such Qualified Stockholder and/or (iii) any other Permitted Entity of such Qualified Stockholder.

  • Business Entity means a natural or legal person, business corporation, professional services corporation, limited liability company, partnership, limited partnership, business trust, association or any other legal commercial entity organized under the laws of this State or of any other state or foreign jurisdiction;

  • Sanctioned Entity means (a) a country or a government of a country, (b) an agency of the government of a country, (c) an organization directly or indirectly controlled by a country or its government, (d) a Person resident in or determined to be resident in a country, in each case, that is subject to a country sanctions program administered and enforced by OFAC.

  • Company Subsidiary means any Subsidiary of the Company.

  • JV Subsidiary any Subsidiary of a Group Member which is not a Wholly Owned Subsidiary and as to which the business and management thereof is jointly controlled by the holders of the Capital Stock therein pursuant to customary joint venture arrangements.

  • Parent Subsidiary means any Subsidiary of Parent.

  • Restricted Entity means (a) the Borrower and (b) each Restricted Subsidiary.

  • Subject Company shall have the meaning set forth in Section 6.10(a).

  • JV Entity means any joint venture of the Borrower or any Restricted Subsidiary that is not a Subsidiary.

  • Excluded Entities has the meaning set forth in Section 2.2(b)(iv).

  • Acquired Company means any business, corporation or other entity acquired by the Company or any Subsidiary.

  • Current Subsidiary means any Person in which the Company on the Subscription Date, directly or indirectly, (i) owns any of the outstanding capital stock or holds any equity or similar interest of such Person or (ii) controls or operates all or any part of the business, operations or administration of such Person, and all of the foregoing, collectively, “Current Subsidiaries”.

  • Group Company means any one of them;

  • SPE Subsidiary means any Subsidiary formed solely for the purpose of, and that engages only in, one or more Securitization Transactions.

  • Consolidated Party means any one of them.

  • IDI Subsidiary means any Issuer Subsidiary that is an insured depository institution.
