Marketplace Member definition

Marketplace Member means a Member that is a Marketplace.
Marketplace Member is an entity participating in the Financing Marketplace administering a program providing Property Assessed Clean Energy (PACE) financing within [city, county].

  • Marketplace Member agrees to comply with all applicable federal, state and local laws, regulations, statutes and policies applicable to the services provided under this Agreement as they exist now and as they are changed, amended or modified during the term of this Agreement.

  • Marketplace Member hereby agrees to provide all services under this Agreement in accordance with generally accepted professional practices and standards of care, as well as the requirements of applicable federal, state and local laws, it being understood that acceptance of Marketplace Member’s work by County shall not operate as a waiver or release.

  • Marketplace Member further covenants that in the performance of this Agreement no person having any such interests shall be employed.

  • Marketplace Member covenants that it presently has no interest and that it will not acquire any interest, direct or indirect, that represents a financial conflict of interest under state law or that would otherwise conflict in any manner or degree with the performance of its services hereunder.

  • In the event of termination pursuant to this Section 5, the Marketplace Member shall: Not enter into new assessment contracts as of the date of the termination.

  • Notwithstanding any other provision of this Agreement, at any time and without cause, [Agency] or Marketplace Member shall have the right, in its sole discretion, to terminate this Agreement by giving 30 days written notice to the other Party of this Agreement.

  • Microenterprise means an enterprise which employs fewer than 10 persons and whose annual turnover and/or annual balance sheet total does not exceed EUR 2 million;

  • Bidding Company means a Subsidiary of the Company whose capital is beneficially owned by the Company and any other Person or Persons that are not Affiliates of the Company for the sole purpose of directly or indirectly bidding on construction projects.
