Liberty SAR definition

Liberty SAR means a stock appreciation right with respect to shares of Liberty Common Stock granted under a stock incentive plan of LMC.
Liberty SAR has the meaning set forth in Section 2.4(b)(iii).

  • It is intended that the Transitional Stock Incentive Plan be considered, as to any Company Post-Split-Off Adjusted Awards, to be a successor plan to the stock incentive plan of Liberty pursuant to which the corresponding Liberty Option, Liberty SAR, Liberty RSU or Liberty Restricted Stock was issued, and the Company shall be deemed to have assumed the obligations under the applicable stock incentive plans of Liberty to make the adjustments to the LVNT Awards set forth in this Section 2.4(b).

  • SAR Awards Each holder of an outstanding stock appreciation right with respect to shares of Liberty common stock on the record date (an original Liberty SAR) will receive a stock appreciation right with respect to shares of the corresponding series of our common stock (a new Broadband SAR) and an adjustment to the base price of and the number of shares subject to the original Liberty SAR (as so adjusted, an adjusted Liberty SAR).

  • Except as described above, all other terms of an adjusted Liberty SAR and a new Broadband SAR (including, for example, the vesting terms thereof) will, in all material respects, be the same as those of the corresponding original Liberty SAR.

  • The terms of the adjusted Liberty SAR will be determined and the new Broadband SAR will be granted as soon as practicable following the determination of the pre-and post-Spin-Off trading prices of Liberty common stock and Broadband common stock, as applicable.

Related to Liberty SAR

  • Company SAR means any stock appreciation right linked to the price of Company Common Stock and granted under any Company Stock Plan.

  • Stock Option means a contractual right granted to an Eligible Person under Section 6 hereof to purchase shares of Common Stock at such time and price, and subject to such conditions, as are set forth in the Plan and the applicable Award Agreement.

  • 3(i) Option means an Option granted pursuant to Section 3(i) of the Ordinance to any person who is Non- Employee.

  • Option Grant Date means, as to any Stock Option, the latest of:

  • Incentive Share Option means an Option that is intended to meet the requirements of Section 422 of the Code or any successor provision thereto.

  • Option Share has the meaning ascribed to it in section "4.7" hereinbelow;

  • Purchase Right means an option to purchase shares of Common Stock granted pursuant to the Plan.

  • Ten Percent Owner Optionee means an Optionee who, at the time an Option is granted to the Optionee, owns stock possessing more than ten percent (10%) of the total combined voting power of all classes of stock of a Participating Company within the meaning of Section 422(b)(6) of the Code.

  • Share Option means a Nonqualified Share Option or an Incentive Share Option.

  • Shoe Option means the Initial Purchasers’ option to purchase up to seventy five million dollars ($75,000,000) aggregate principal amount of additional Notes as provided for in the Purchase Agreement.

  • SAR means a stock appreciation right granted under the Plan.

  • Option Date means, with respect to any Stock Option, the date on which the Stock Option is awarded under the Plan.

  • Nonstatutory Stock Option means an Option not intended to qualify as an Incentive Stock Option.

  • Reload Option means any Option granted under Section 6(a)(iv) of the Plan.

  • Related Option means an Option with respect to which a Stock Appreciation Right has been granted.

  • Appreciation Right means a right granted pursuant to Section 5 of this Plan, and shall include both Tandem Appreciation Rights and Free-Standing Appreciation Rights.

  • Tandem SAR means an SAR that is granted in connection with a related Option pursuant to Article 7 herein, the exercise of which shall require forfeiture of the right to purchase a Share under the related Option (and when a Share is purchased under the Option, the Tandem SAR shall similarly be canceled).

  • Common Share means one share of the common stock of the Company.

  • Tandem Appreciation Right means an Appreciation Right granted pursuant to Section 5 of this Plan that is granted in tandem with an Option Right.

  • Optioned Stock means the Common Stock subject to an Option.

  • Employee Option means an Option granted pursuant to Section 5.

  • Incentive Option means an option which satisfies the requirements of Code Section 422.

  • Ten Percent Shareholder means a person who owns (or is deemed to own pursuant to Section 424(d) of the Code) stock possessing more than 10% of the total combined voting power of all classes of stock of the Company or of any of its Affiliates.

  • Freestanding SAR means an SAR that is granted independently of any Options, as described in Article 7 herein.

  • Date of Option Grant means the effective date of grant of the Option as set forth in the Notice.

  • Director Option means an Option granted pursuant to Section 6.
