Issuer Irish Account definition

Issuer Irish Account means an account in the name of the Issuer with Bank of Ireland, into which, amongst other things, €10,005.25 representing the fully paid up and partly paid up share capital of the Issuer and the Issuer Fee has been and will be paid.
Issuer Irish Account means the account in the name of the Issuer with Bank of Ireland to which will be credited the Issuer's share capital plus any amounts received by way of fees for entering into the Transaction.
Issuer Irish Account means the account in the name of the Issuer established in Ireland for the purposes of, inter alia, holding the proceeds of the issued share capital of the Issuer and any fees received by the Issuer in connection with the issue of the Notes.

Examples of Issuer Irish Account in a sentence

  • The VF Notes and the Notes have recourse only to the assets of the Issuer (other than the Issuer Irish Account and the rights of the Issuer under the Corporate Administration Agreement).

  • In such circumstances, the other assets (including the Issuer Irish Account and its rights under the Corporate Services Agreement) of the Issuer will not be available for payment of such shortfall which shall be borne by the Noteholders, the Trustee and the other Secured Parties in accordance with the Terms of the Trust Deed.

  • The Notes will also be secured by an assignment by way of security of various of the Issuer’s other rights, including its rights under certain of the agreements described herein but excluding its rights in respect of the Issuer Irish Account and the Administration Agreement.


More Definitions of Issuer Irish Account

Issuer Irish Account means the account in the name of the Issuer with Bank of Ireland, IFSC Branch.
