  • Pacific is acquiring the IPI Shares to be transferred to it under this Plan for investment and not with a view to the sale or distribution thereof, and Pacific has no commitment or present intention to liquidate IPI or to sell or otherwise dispose of the IPI Shares.

  • Sold Shares shall have the meaning specified in Section 6.
