Invested Equity Capital definition

Invested Equity Capital means, with respect to any Person as of any date, without duplication, the sum of (i) the total dollar amount contributed in cash plus the value of all property contributed (valued at fair market value at the time of contribution, determined in good faith by the Supervisory Board) to such Person since the date of its creation in the form of common equity, plus, (ii) the total dollar amount contributed in cash plus the value of all property contributed (valued at fair market value at the time of contribution, determined in good faith by the Supervisory Board) to such Person since the date of creation by the holders of its common equity (and their Affiliates) in consideration of the issuance of preferred equity or Indebtedness, on a basis that is substantially proportionate to their common equity interests (with any disproportionately large equity interests received by the Company or a Subsidiary relative to their respective contributions being ignored for this purpose), plus, (iii) the total dollar amount contributed in cash plus the value of all property contributed (valued at fair market value at the time of contribution, determined in good faith by the Supervisory Board) to such Person since the date of its creation by the Company or a Wholly Owned Subsidiary of the Company in consideration of the issuance of preferred equity or Indebtedness, and less (iv) the value of all interest, returns in respect of Indebtedness, dividends and other distributions (in whatever form and however designated, valued at fair market value as determined in good faith by the Supervisory Board) made by such Person since the date of its creation to the holders of its common equity (and their Affiliates); provided that in no event shall the aggregate amount of interest, dividends and other distributions made to any holder of common equity of a Person (or its Affiliates) operate to reduce the Invested Equity Capital of such Person by more than the total contributions to such Person (per clauses (i) through (iii) above) by such equity holder (and its Affiliates).
