Intesa Soliciting Activities definition

Intesa Soliciting Activities has the meaning set forth in Section 9.4(b)(i).
Intesa Soliciting Activities means activities that in any manner, directly or indirectly, have the purpose or effect of (1) Soliciting any person who is an employee of Intesa, the Corporate Bank or any of their respective subsidiaries or other controlled affiliates (including, for the avoidance of doubt, any Key Employee) to apply for or accept employment with Lazard, the JV Company or any of their respective subsidiaries or other controlled affiliates or resign from any service with Intesa, the Corporate Bank or any of their respective subsidiaries or other controlled affiliates, as applicable, or (2) hiring any person who is a Key Employee of Intesa, the Corporate Bank or any of their respective subsidiaries or other controlled affiliates to work for Lazard, the JV Company or any of their respective subsidiaries or other controlled affiliates.

  • Each of Lazard and the JV Company covenants and agrees not to, and to cause its subsidiaries and other controlled affiliates not to, engage in any Intesa Soliciting Activities, for the applicable Solicitation Period.

Related to Intesa Soliciting Activities

  • Competing Activities means the same or similar services as Xxxxxx Xxx Ltd is providing to the Restaurant under this Agreement or other activities having a similar purpose.

Further, notwithstanding anything in this Section 5, the Executive shall not be considered to be in violation of this Section 5 solely by reason of owning, directly or indirectly, any stock or other securities of a Competitive Enterprise (or comparable interest, including a voting or profit participation interest, in any such Competitive Enterprise) if the Executive’s interest does not exceed 5% of the outstanding capital stock of such Competitive Enterprise (or comparable interest, including a voting or profit participation interest, in such Competitive Enterprise).

  • Interfering Activities means (A) encouraging, soliciting, or inducing, or in any manner attempting to encourage, solicit, or induce, any Person employed by, or providing consulting services to, any member of the Company Group to terminate such Person’s employment or services (or in the case of a consultant, materially reducing such services) with the Company Group; (B) hiring any individual who was employed by the Company Group within the six (6) month period prior to the date of such hiring; or (C) encouraging, soliciting, or inducing, or in any manner attempting to encourage, solicit, or induce, any Business Relation to cease doing business with or reduce the amount of business conducted with the Company Group, or in any way interfering with the relationship between any such Business Relation and the Company Group.

  • Contracting activity for DoD also means elements designated by the director of a defense agency which has been delegated contracting authority through its agency charter. DoD contracting activities are listed at PGI 202.101.

Overhead and other expenses related to “distribution activities” or “service activities,” including telephone and other communications expenses, may be included in the information regarding amounts expended for these activities.
