JV Company means the limited liability company to be formed under the laws of the State of Delaware pursuant to this Agreement that will own, directly or indirectly, the Barrick Contributed Assets and the Newmont Contributed Assets at the Time of Closing as a result of the transactions contemplated by this Agreement;
