Group II Certificate definition

Group II Certificate. Any one of the Class II-A-1 Certificates, the Class II-A-2 Certificates, the Class II-A-3 Certificates and the Class II-A-4 Certificates, executed by the Trustee and authenticated by the Certificate Registrar substantially in the form annexed to the Standard Terms as Exhibit A, each such Certificate evidencing an interest designated as a "regular interest" in REMIC II for purposes of the REMIC Provisions and representing an undivided interest in Loan Group II.
Group II Certificate. Any Class IIA-1, Class IIA-2, Class IIA-3, Class IIA-4, Class IIA-5 or Class IIA-6 Certificate.

  • For purposes of the REMIC Provisions, each Group II Certificate (other than the Class II-P, Class II-A-LR and Class II-A-UR Certificates, the Exchangeable Certificates and the Exchangeable REMIC Certificates) and the Uncertificated REMIC Intereststs represent ownership of a regular interest in Master REMIC II.

  • Net Funds Cap Carryover: If on any Payment Date the Group II Certificate interest distribution amount is less than the Group II Pass-Through Rate (which is subject to a maximum equal to the Weighted Average Life Cap of the collateral), the amount of such shortfall and the aggregate of such shortfalls from previous payment dates together with accrued interest at the Pass-Through Rate will be carried forward to the next Payment Date until paid.

  • If the Trustee finds any document or documents constituting a part of a Mortgage File to be missing or defective (that is, mutilated, damaged, defaced or unexecuted) in any material respect, the Trustee shall promptly (and in any event within no more than five Business Days) after such finding so notify the Group II Certificate Insurer, the Subservicer, the Seller and the Depositor.
