Grants of the Annual Performance-Based Awards will be made in January of each year during the Employment Period, provided the first award will be made promptly following the Execution Date, and will have performance-based vesting hurdles and other terms determined by the Compensation Committee consistent with the foregoing and the terms set forth on Exhibit B hereto.
All Milestone Grants not yet granted to Executive as of the date of the Change of Control shall be immediately granted and shall vest and become fully exercisable, such that Executive shall receive the full seven percent (7.0%) equity allocation contemplated by this Article 4.
