GMP Procedures definition

GMP Procedures means: the procedures to be agreed by SYNCO and ADVAXIS in writing after completion of the Engineering Batch and pursuant to which a GMP Batch will in all material respects have to be manufactured.
GMP Procedures means: the final procedures (following review and discussion of the Draft Procedures) agreed by FCDI and CENTURY in writing after the Process Development Activities or after the completion of the Engineering Batches pursuant to which a GMP Batch will, in all material respects, have to be manufactured.

Examples of GMP Procedures in a sentence

  • Subject to Article 16.1, any Batches manufactured during the Manufacturing Phase shall on the date of delivery to ADVAXIS conform to the GMP Specifications, as described in the applicable Service Specific Addendum, and when manufacturing GMP Batches SYNCO shall conform to the GMP Procedures, as described in the applicable Service Specific Addendum in all material respects.

  • The Parties agree that they will use their good faith commercially reasonable efforts to reach such agreement on the Release Specifications and GMP Procedures.

  • If FCDI, during the Manufacturing Phase, fails to manufacture a Batch that meets the Release Specifications, and/or a Batch is not manufactured under GMP, FCDI shall notify Century in writing of such non-conformity as soon as reasonably practicable and thereafter FCDI shall use its commercially reasonable efforts to manufacture a replacement Batch according to GMP Procedures, which conforms to the Release Specifications.

  • In the event that FCDI performs a Run according to the GMP Procedures but nevertheless fails to manufacture a replacement Batch which conforms to the Release Specifications, FCDI shall have no further responsibility or liability, and CENTURY shall have no further rights and remedies, with respect to such non-conforming Product except as may be expressly otherwise provided in Article 7.7. The responsibility for the cost and expense of the replacement Batch will be as set forth in Article 7.7.

  • Bidding Procedures means the procedures governing the Auction and sale of all or substantially all of the Debtors’ assets, as approved by the Bankruptcy Court and as may be amended from time to time in accordance with their terms.
