First Lien Bank Professionals definition

First Lien Bank Professionals means (i) Stroock & Stroock & Xxxxx LLP (ii) Rothschild Inc., (iii) Xxxx Xxxxxxx Xxxxxx & Towbin LLC, (iv) Xxxxxxx, Xxxxxxx, Englert, Orseck, Untereiner & Sauber LLP, (v) one gaming counsel, (vi) one (1) special REIT counsel, and (vii) such other legal, consulting, financial, and/or other professional advisors as may be retained or may have been retained from time to time by any of the Requisite Consenting Bank Creditors with the prior written consent of the Company, which consent shall not be unreasonably withheld.
First Lien Bank Professionals means Stroock & Stroock & Lavan LLP (ii) Rothschild Inc., (iii) Shaw Fishman Glantz & Towbin LLC,
First Lien Bank Professionals has the meaning ascribed to such term in the Bank RSA.

  • The Company shall make any such opinion and/or private letter ruling available to the First Xxxx Xxxx Professionals and First Lien Bank Professionals.

  • First Lien Lenders means the “Lenders” under and as defined in the First Lien Credit Agreement.

  • DIP Agent means the administrative agent for the DIP Lenders as defined in the DIP Credit Agreement.

In no event shall any Lender-Related Hedge Provider acting in such capacity be deemed a Lender for purposes hereof to the extent of and as to Hedging Obligations except that each reference to the term “Lender” in Article IX and Section 10.3(b) shall be deemed to include such Lender-Related Hedge Provider. In no event shall the approval of any such Person in its capacity as Lender-Related Hedge Provider be required in connection with the release or termination of any security interest or Lien of the Administrative Agent.

  • Bank Lenders means the lenders from time to time party to the Bank Credit Agreement.

  • DIP Lender means a lender under the DIP Facility.

  • Second Lien Bank Loan means a Bank Loan (other than a First Lien Bank Loan and a Last Out Loan) that is entitled to the benefit of a first and/or second lien and first and/or second priority perfected security interest on all or substantially all of the assets of the respective borrower and guarantors obligated in respect thereof.
