Extended Option Period definition

Extended Option Period means, with respect to the first Extended Option Period, the period ending on March 1 of the taxable year next following the taxable year in which the Option Period ends or such later date as the Corporation may designate in the first Extension Notice and, with respect to each subsequent Extended Option Period, shall mean the period ending on March 1 of the next succeeding taxable year or such later date as the Corporation may designate in the applicable Extension Notice. None of the shares of Common Stock issued pursuant to this Agreement nor any interest therein shall be sold, transferred or encumbered until the Repurchase Option as to such shares may no longer become exercisable. The Repurchase Option shall become exercisable during the Option Period or any Extended Option Period, as the case may be, upon the termination of employment of the Employee with the Corporation or any of its subsidiaries other than as a result of the Employee's death or permanent and total disability.
Extended Option Period has the meaning given to it in clause 5.1;
Extended Option Period means the extended period for exercise of options following termination of the Optionee’s employment, as provided in Section Four, paragraphs (a), (b), (c) or (d) and as applicable in the circumstances.

Examples of Extended Option Period in a sentence

  • The Corporation shall have the right to extend the period during which the Repurchase Option may become exercisable (the "Extended Option Period") for such number of the shares (the "Extended Option Shares") covered by this Agreement as shall be determined as described below.

  • Such right, which may be exercised more than once, shall be exercised by notice (the "Extension Notice") to the Employee no later than the end of the Option Period for the first Extended Option Period, or the then-current Extended Option Period for any subsequent Extended Option Period, of the number of shares that the Corporation designates as Extended Option Shares that shall remain subject to the Repurchase Option through the next Extended Option Period.

  • If the Parent wishes to exercise either of ----------------- the Options, the Parent shall do so by delivering written notice during the Initial Option Period or the Extended Option Period, as the case may be (the date of such notice being herein called the "Notice Date"), to the Investor specifying the place, time and date not earlier than two business days, nor later than ten business days, from the Notice Date for the closing of the purchase by the Parent pursuant to such exercise.

  • The Initial Option Period and, if applicable, the Extended Option Period (as defined in clause 4.2) shall constitute the “Option Period” for the purposes of this Deed).

  • The Initial Option Period and the Extended Option Period shall be collectively referred to as the Option Period.

  • The Company may extend the Initial Option Period to 5pm on 18 December 2019 by providing Biogreen notice in writing advising of the Company intention to extend the Initial Option Period and paying to Biogreen the amount of $100,000 (Extended Option Period).

  • If the total number of shares subscribed for by the Optionees is less than the number of Offered Shares, then for five days following the Option Period (the "Extended Option Period") the Corporation (which for this purpose shall be considered an Optionee) shall have the option to purchase all or any portion of the unpurchased shares at the "Option Price" applicable to it.

  • All provisions of this Extension Agreement shall be in full force and effect during the Extended Option Period and, if Optionee exercises its right to purchase the Real Property, until Closing.

  • Option Date means, with respect to any Stock Option, the date on which the Stock Option is awarded under the Plan.

  • Optional Termination Date Any Distribution Date on or after which the Stated Principal Balance (after giving effect to distributions to be made on such Distribution Date) of the Mortgage Loans is less than 10.00% of the Cut-off Date Balance.

  • Option Term means a period, if any, through which this Agreement may be or has been extended by the JBE.

  • Post-Termination Exercise Period means the period following termination of a Participant’s Continuous Service within which an Option or SAR is exercisable, as specified in Section 4(h).

  • 3(i) Option means an Option granted pursuant to Section 3(i) of the Ordinance to any person who is Non- Employee.

  • Shoe Option means the Initial Purchasers’ option to purchase up to seventy five million dollars ($75,000,000) aggregate principal amount of additional Notes as provided for in the Purchase Agreement.

  • Initial Termination Date has the meaning set forth in Section 8.2(a).

  • Incentive Share Option means an Option that is intended to meet the requirements of Section 422 of the Code or any successor provision thereto.

  • Initial Expiration Date shall have the meaning set forth in Section 1.1(d).

  • Qualifying Period means 12 continuous Calendar Weeks during the whole or part of which the Agency Worker is supplied by one or more Temporary Work Agencies to the relevant Hirer to work temporarily for and under the supervision and direction of the relevant Hirer in the same role, and as further defined in the Schedule to these Terms;

  • Post-Closing Period means any taxable period (or portion thereof) beginning after the Closing Date.
