Exercising of Rights. The exercise by the Administrative Agent of its rights and remedies hereunder will not violate any law or governmental regulation or any material contractual restriction binding on or affecting a Pledgor or any of its property.

You have to comply with the terms of the Agreement even if we do not insist that you do something you are required to do under the Agreement, or if we delay in taking steps against you for breach of this contract. For example, if you miss a payment and we do not chase you but we continue to provide the services, we can still require you to make the payment at a later date.

Other than as set forth in the Credit Agreement or the schedules thereto, and except for restrictions and limitations imposed by the Credit Documents or securities laws generally or otherwise permitted to exist pursuant to the terms of the Credit Agreement, none of the Pledged Collateral is or will be subject to any option, right of first refusal, shareholders agreement, charter or by-law provisions or contractual restriction of any nature that might prohibit, impair, delay or otherwise affect the pledge of such Pledged Collateral hereunder, the sale or disposition thereof pursuant hereto or the exercise by the Collateral Agent of rights and remedies hereunder.
Exercising of Rights. BMF's failure to exercise any of its rights shall not operate as a waiver of any such rights and such rights shall continue until all Contracts have been paid in full. All of BMF's rights as provided herein shall be cumulative and not in the alternative and BMF's rights shall bind the Broker/Lessor, his heirs, assigns and successors-in-interest.
