Excess Distribution Amount definition

Excess Distribution Amount is defined in Section 6.1(c).
Excess Distribution Amount shall have the meaning set forth in Section 8.3(a)(ii).
Excess Distribution Amount is an amount equal to the amount available for distribution to shareholders of the Corporation after payment of all debts and liabilities less the sum of (i) the liquidation preferences in respect of all shares of preferred stock of the Corporation other than the Series One Preferred Stock, (ii) the product of 100 times the number of outstanding shares of Series One Preferred Stock, and (iii) the product of the number of outstanding shares of Common Stock times a fraction whose numerator is 100 and whose denominator is the Adjustment Number.

Examples of Excess Distribution Amount in a sentence

  • The 25th day of each month in which a Special Excess Distribution Amount is required to be distributed to Holders of Book-Entry Securities backed by Ginnie Mae Multifamily Certificates or, if the 25th day is not a Business Day, the first Business Day thereafter.

  • The Offeror hereby offers to purchase, on and subject to the following terms and conditions, all of the outstanding Units, including Units which become outstanding on the exercise of outstanding Options or other rights to purchase Units at a price of $16.25 in cash per Unit less any Excess Distribution Amount.

More Definitions of Excess Distribution Amount

Excess Distribution Amount means the amount of any distribution declared on a Unit in a month in excess of the Monthly Distribution;
Excess Distribution Amount shall equal the lesser of -------------------------- (i) the amount by which the General Partner Distributions exceed the sum of the Total General Partner Net Gain or Loss plus the aggregate contributions made to the Partnership by the General Partner or (ii) the amount of the General Partner Distributions.
