European Guarantee definition

European Guarantee means, individually and/or collectively as the context may require, any French Guarantee, any German Guarantee, any Spanish Guarantee, any Additional European Guarantee, and any other guarantee that is entered into by any European Borrower or any other European Loan Party pursuant to the terms of this Agreement or any other Loan Document, including Section 5.14(a) and (d), in form and substance reasonably satisfactory to the Administrative Agent, as each of the foregoing may be amended, restated or otherwise modified from time to time.
European Guarantee has the meaning set forth in the introductory paragraph hereto.
European Guarantee means (a) the Guarantee, made by each European Guarantor in favor of the Administrative Agent for the benefit of the European Secured Parties, substantially in the form of Exhibit B-2, and (b) any other guarantee of the European Obligations made by a European Subsidiary that is a Restricted Subsidiary in form and substance reasonably acceptable to the Administrative Agent, in each case as the same may be amended, supplemented or otherwise modified from time to time.

  • Canadian Guarantee means the Canadian Guarantee Agreement, made by each of the Canadian Guarantors in favor of the Canadian Administrative Agent for the benefit of the Lenders to the Canadian Borrower, substantially in the form of Exhibit A-1, as the same may be amended, supplemented or otherwise modified from time to time.

  • VA Loan Guaranty Agreement means the obligation of the United States to pay a specific percentage of a Mortgage Loan (subject to a maximum amount) upon default of the Mortgagor pursuant to the Servicemen’s Readjustment Act, as amended.

  • Subsidiary Guarantee means any guarantee of the obligations of the Issuers under this Indenture and the Notes by any Subsidiary Guarantor in accordance with the provisions of this Indenture.

  • Foreign Guarantor means any Guarantor that is not organized under the laws of the United States or any jurisdiction within the United States.

  • Consumer Guarantee means a consumer guarantee applicable to this contract under the Australian Consumer Law, including any Express Warranty.

  • Corporate Guarantee means the guarantee required to be executed hereunder by the Corporate Guarantor in such form as the Bank may agree or require ;

  • Subsidiary Guarantee Agreement means the Subsidiary Guarantee Agreement, substantially in the form of Exhibit I, made by the Subsidiary Guarantors in favor of the Collateral Agent for the benefit of the Secured Parties.

  • Swap Guarantee If so specified in the Supplement with respect to any Series, the guarantee issued by the Swap Guarantor in favor of the Trust substantially in the form attached as an exhibit to the Swap Agreement.

  • Parent Guarantee means the guarantee of payment of the Securities by the Parent Guarantor pursuant to the terms of this Indenture.

  • Limited Guarantee has the meaning set forth in the Recitals.

  • Loan Guarantor means each Loan Party.

  • Foreign Guarantors means and includes each Foreign Borrower and each Foreign Subsidiary Guarantor.
