Electronic File definition

Electronic File means any text, illustration or other matter supplied or produced by either Party in digitised form on disc, through a modem, or by ISDN or any other communication link.
Electronic File means a file in transferable electronic format that includes all data essential to Service a Mortgage Loan, including but not limited to the following information with regard to each Mortgage Loan:
Electronic File means any electronic file, in form and substance reasonably acceptable to the Lender and containing the information agreed to between the Borrower and the Lender; delivered by the Borrower to the Lender on a Funding Notice Date or Collateral Reporting Date pursuant to Section 2.03(a) or 2.03(b) and reflecting those Mortgage Loans related to Pledged Servicing Rights as of the close of business on such Funding Notice Date; provided, however, that with regard to the Electronic File delivered in connection with a Collateral Reporting Date, such Electronic File shall reflect information as of the close of business on the last Business Day of the preceding calendar month.

  • It is the Buyer's responsibility to maintain a copy of any original Electronic File provided by the Buyer.

  • A/E, and Contractor do not warrant to each other that any Electronic File they provide (1) was not altered though transmission; (2) is compatible with the recipient’s computer system or software; (3) will not be altered through degradation of the recipient’s storage media; or (4) is suitable for conversion/translation to and subsequent use in a system or format other than the Electronic File’s original system or format.

  • For purposes of preparing each Borrowing Base Report, the Lender shall calculate the Collateral Value of the Eligible Servicing Rights described in the Relevant Electronic File.
