Named Executive Officers or “NEOs” means the following individuals:

Chief elected official means a chairperson of a county board of commissioners, a county executive, a city mayor, a township supervisor, a village president, or his or her designee.
Named Executive means any individual who, on the last day of the Company’s fiscal year, is the chief executive officer of the Company (or is acting in such capacity) or among the four most highly compensated officers of the Company (other than the chief executive officer). Such officer status shall be determined pursuant to the executive compensation disclosure rules under the Exchange Act.

Designated Employee means an employee who has been designated by the school to receive complaints of hazing, harassment and bullying pursuant to subdivision 16 V.S.A. 570a(a)(7). The designated employees for each school building are identified in Appendix A of this policy.
Election official means any election officer, election judge, or poll worker.
Non-Officer Employee means any person who serves or has served as an employee or agent of the Corporation, but who is not or was not a Director or Officer;
Current Employee has the meaning set forth in Section 7.8(a).
Executive Employee means those employees of the Company of Grade Level 10 or above.
Parent Employee means, a current employee of Parent or any of its Subsidiaries.
Executive Officers means the Chief Executive Officer, the Chief Operating Officer (if any) and the Chief Financial Officer of the Parent.
Campaign for elective office means any activity in furtherance of an effort to influence the selection, nomination, election, or appointment of any individual to any federal, State, or local public office or office in a political organization, or the selection, nomination, or election of Presidential or Vice-Presidential electors, but does not include activities (i) relating to the support or opposition of any executive, legislative, or administrative action, (ii) relating to collective bargaining, or (iii) that are otherwise in furtherance of the person's official duties.
Executive Office means such office of the Company as the Directors may from time to time determine to be the principal office of the Company.
Senior executive officer means the Company’s “senior executive officers” as defined in subsection 111(b)(3) of EESA.
Municipal officer or employee means an officer or employee of a municipality, whether paid or unpaid, including members of any administrative board, commission or other agency thereof and in the case of a county, shall be deemed to also include any officer or employee paid from county funds. No person shall be deemed to be a municipal officer or employee solely by reason of being a volunteer fireman or civil defense volunteer, except a fire chief or assistant fire chief.
Management Employee means an employee having responsibility for formulating, administering or managing the implementation of District policies and programs.

Male employee means an employed male who is caring for a child borne of his spouse or a child placed with the employee for adoption purposes.
Covered Executive means any “executive officer” of the Company as defined under Rule 10D-1.
Company Employee means an employee of the Company or any of its Subsidiaries.
Seattle Human Resources Director means the director of the Seattle Department of Human Resources or his or her designated management representative.
Supervisory employee means an employee, regardless of job description, having authority in the interest of the employer to hire, transfer, suspend, lay off, recall, promote, discharge, assign, reward, or discipline other employees, or the responsibility to assign work to and direct them, or to adjust their grievances, or effectively recommend that action, if, in connection with the foregoing functions, the exercise of that authority is not of a merely routine or clerical nature, but requires the use of independent judgment.
Restricted Employee means any individual who was employed by any member of the Company Group during the course of Employee’s term of employment and with whom Employee had material contact during the twelve (12) month period immediately preceding the date of Employee’s termination.
SEF Official means any Director or Officer of, or individual employed directly by, BSEF, the Regulatory Services Provider or any individual rendering similar services to BSEF under an administrative or similar agreement.
Female employee means an employed female who is pregnant or is caring for a child she has borne or a child who has been placed with her for adoption purposes.
