DTC Payment definition

DTC Payment has the meaning set forth in Section 2.02(a).
DTC Payment is defined in Section 2.6(b).

Examples of DTC Payment in a sentence

  • Until so surrendered or transferred, outstanding Certificates and Uncertificated Shares will be deemed from and after the Effective Time to evidence only the right to receive the Per Share Price payable in respect thereof pursuant to Section 2.7. (d) DTC Payment.

More Definitions of DTC Payment

DTC Payment shall have the meaning set forth in Section 3.3(b).

DTC Payment means an amount in cash in immediately available funds equal to the product of (i) number of Common Shares held of record by DTC or such nominee immediately prior to the Effective Time and (ii) the Per Share Merger Consideration.

Related to DTC Payment

  • DTC Participant means brokers and dealers, banks, trust companies, clearing corporations and certain other organizations on whose behalf DTC was created to hold securities to facilitate the clearance and settlement of securities transactions among DTC Participants.

  • DTC Participants means participants within DTC.

  • DTC Custodian means the custodian of the DTC Notes on behalf of DTC, which initially shall be the Global Agent.

  • DTC Notes means the Notes cleared, settled and maintained on the DTC System, registered in the name of a nominee of DTC and substantially in the form of Exhibit B hereto. The Notes will be DTC Notes at issuance.

  • DTC System means the book-entry system of DTC.

  • Direct Payment means a payment granted directly to farmers under a support scheme listed in Annex I;

  • body in which the relevant person has a beneficial interest means a firm in which the relevant person is a partner or a body corporate of which the relevant person is a director, or in the securities of which the relevant person has a beneficial interest;

  • Central Depository means Centrálny depozitár cenných papierov SR, a.s., with its registered seat at ul. 29. augusta 1/A, Bratislava 814 80, Slovak Republic, registered in the Commercial Register maintained by the District Court Bratislava I, Section: Sa, Insert No.: 493/B;

  • Final Redemption Value means the Underlying Reference Value.

  • Clearing Account has the meaning set forth in Section 2.7.1 hereof.

  • Monthly Redemption means the redemption of this Debenture pursuant to Section 6(b) hereof.

  • DTC Letter means the letter of representations for the Notes, dated November 25, 2014 between the Issuer and The Depository Trust Company.

  • Depository The Depository Trust Company, or any successor Depository hereafter named. The nominee of the initial Depository for purposes of registering those Certificates that are to be Book-Entry Certificates is Cede & Co. The Depository shall at all times be a "clearing corporation" as defined in Section 8-102(a)(5) of the Uniform Commercial Code of the State of New York and a "clearing agency" registered pursuant to the provisions of Section 17A of the Securities Exchange Act of 1934, as amended.

  • Original Fractional Interest With respect to each of the following Classes of Class 1-B Certificates, the corresponding percentage described below, as of the Closing Date: Class 1-B-1 1.36% Class 1-B-2 0.80% Class 1-B-3 0.50% Class 1-B-4 0.30% Class 1-B-5 0.15% Class 1-B-6 0.00% Original Class 1-B Certificate Balance: $12,540,662.00. OTS: The Office of Thrift Supervision.

  • Clearing means the clearing and removal of vegetation, whether partially or in whole, including trees and shrubs, as specified;

  • DTC/FAST Program means the DTC’s Fast Automated Securities Transfer Program.

  • Additional Interest Amount means, with respect to Trust Securities of a given Liquidation Amount and/or a given period, the amount of Additional Interest paid by the Depositor on a Like Amount of Notes for such period.

  • Balance Transfer means a transfer of the debit balance on any credit card held with any credit card issuer or any account with other banks (other than the Bank) to a Card Account;

  • Monthly Redemption Amount means, as to a Monthly Redemption, one seventh of the original principal amount at 110% of such principal amount, plus accrued but unpaid interest, liquidated damages and any other amounts then owing to the Holder in respect of this Note.

  • DTC means The Depository Trust Company.

  • Compensating Interest Payment As defined in Section 6.06.

  • Clearing Agent means Clearstream Banking AG, Euroclear Bank S.A., and Clearstream Banking S.A. and such further or alternative clearing agent(s) or clearance system(s) as may be approved by the Issuer from time to time and notified to the Holders in accordance with General Condition 4 (each a “Clearing Agent” and together the “Clearing Agents”);

  • Fractional Interest As defined in Section 5.02(d).

  • Original Class B-5 Fractional Interest As to the first Distribution Date, the percentage obtained by dividing the Original Class B-6 Principal Balance by the sum of the Original Class A Non-PO Principal Balance and the Original Class B Principal Balance. The Original Class B-5 Fractional Interest is specified in Section 11.20.

  • Financial Interest means either:

  • Depository Institution Any depository institution or trust company, including the Trustee, that (a) is incorporated under the laws of the United States of America or any State thereof, (b) is subject to supervision and examination by federal or state banking authorities and (c) has outstanding unsecured commercial paper or other short-term unsecured debt obligations that are rated P-1 by Moody's, F1+ by Fitch and A-1 by Standard & Poor's.
