Dow Entities definition

Dow Entities means Dow, TDCC and their Subsidiaries as of a relevant time, and Realigned DuPont Entities after Realignment with respect to each such entity.

  • Exhibit G sets forth certain Tax Holidays applicable to Realigned Dow Entities and the applicable requirements for avoiding recapture of any previously received benefits under such Tax Holidays for pre-Realignment taxable periods (or portions thereof).

  • The Company agrees to deduct Union dues and initiation (entrance) fees in the amount certified by the Union to be proper from the pay of each employee and forward such dues monthly together with a list showing name, address and phone number from whom the deductions were made to the Secretary-Treasurer of the Local Union.

  • All periodical receipts of the Business or related to the Transferred Assets or the Off-Site Locations (including rents, license fees, royalties, rebates and refunds) shall be apportioned between the Transferor Dow Entities and the K-Dow Group on the basis set out in Clause 4.23.

  • TDCC and the other Dow Entities shall be responsible for the Tax reporting and remitting the amounts of any Taxes required to be withheld to the appropriate Governmental Authority in connection with the Dow Stock Awards held by the Transferred Employees.

  • Except to the extent otherwise prohibited by applicable Law, as of the Closing Date (or such earlier time as necessary for Parent to comply with the provisions of this Agreement), TDCC and the relevant Dow Entities shall transfer copies of all Employee Records to the Parent or another Parent Entity.

  • TDCC and the other Dow Entities shall be responsible for the Tax reporting and remitting the amounts of any Taxes required to be withheld to the appropriate Governmental Authority in connection with payment of their portion of the annual bonuses for the Transferred Employees who are participants in the TDCC Bonus Plan.

Related to Dow Entities

  • Transferred Entities means the entities set forth on Schedule 1.5.

  • Seller Entities means, collectively, Seller and all Seller Subsidiaries.

  • PJM Entities means PJM, including the Market Monitoring Unit, the PJM Board, and PJM’s officers, employees, representatives, advisors, contractors, and consultants. PJM Interchange:

  • SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”

  • Seller Subsidiaries means the subsidiary partnerships of the McNeil Partnerships listed on Annex G to this Agreement (the "Subsidiary Partnerships") and the subsidiary corporations listed on Annex F to this Agreement (the "Subsidiary Corporations") which hold GP Interests in certain of the Subsidiary Partnerships.

  • Acquired Entities means the Company and the Company Subsidiaries.

  • Related Entities means contractors and subcontractors of a Party at any tier; grantees, investigators, customers, and users of a Party at any tier and their contractors or subcontractor at any tier; or, employees of the Party or any of the foregoing.

  • Acquired Companies means, collectively, the Company and the Company Subsidiaries.

  • Entities means event and competition organisers/promoters/managers, land and track owners/managers/administrators/lessees, CAMS affiliated clubs, state and territory governments and insured listed in CAMS’ public/product/professional indemnity insurance policies and each of their related bodies corporate (including their related bodies corporate) and each of their organs and agencies, officers/president/directors/executives, employees, servants, agents, partners, providers, members, competitors, drivers, co-drivers, navigators, officials, crew members, pit crew, delegates, licence holders, representatives, commissions, committees, advisers, trustees, councils, panels, shareholders, volunteers, officials, appointees, delegated bodies and sponsors.

  • Parent Entities means, collectively, Parent and all Parent Subsidiaries.

  • Buyer Entities means, collectively, Buyer and all Buyer Subsidiaries.

  • Seller Affiliates has the meaning assigned to such term in Section 2.7.1;

  • Company Entities means the Company and the Company Subsidiaries.

  • Partnership Entities means the General Partner and each member of the Partnership Group.

  • Target Companies means the Company and its Subsidiaries.

  • Released Entities means released entities as such term is defined

  • Retained Subsidiaries means all of the direct and indirect Subsidiaries of Seller other than the Purchased Subsidiaries.

  • Group Companies means the Company and its Subsidiaries.

  • Seller Group Member means (a) Seller and its Affiliates, (b) directors, officers and employees of Seller and its Affiliates and (c) the successors and assigns of the foregoing.

  • Participating Entities and “Participating Entity” are defined on the Coversheet.

  • Company Subsidiaries means the Subsidiaries of the Company.

  • Seller Affiliate means any Affiliate of Seller.

  • Seller Group means, at any time, the group of companies comprised of Xxxxx Fargo & Company and its subsidiaries at that time.

  • Excluded Entities has the meaning set forth in Section 2.2(b)(iv).

  • Transferred Subsidiaries shall have the meaning set forth in the Recitals.

  • Seller Parties has the meaning set forth in the preamble to this Agreement.
