Dilution Instrument definition

Dilution Instrument means any Equity Shares, or any rights, options, warrants, appreciation rights or instruments entitling the holder to receive any Equity Shares of the Company or any options to purchase or rights to subscribe for securities by their terms convertible into or exchangeable for Equity Shares. However, Sweat Equity Shares and employee stock option shall not be deemed to be dilution instrument.

  • For the avoidance of doubt, it is hereby clarified that the non-subscription or non-participation to the Dilution Instrument by the Investors in terms of this Article 4.1 (Anti-dilution rights), shall in no way prejudice the right available to the Investors in accordance with Article 4.2 (Pre-emptive rights) of Part B of these Articles.

  • In the event that the Company issues any Dilution Instrument at any time, then the Specified Investor shall be entitled to participate in such issue pro-rata to its shareholding in the Company, on the terms on which the Company proposes to issue the Dilution Instruments to any other person.Notwithstanding anything contained in these Articles any Dilution Instrument shall not be issued in contravention of the provisions of this Article.

  • Subject to Applicable Law, the Promoters and the Company shall ensure that the price and terms of the Dilution Instrument remains unchanged as provided in the Offer Notice.

  • Without prejudice to the requirements of Clause 5.7, if at any time, the Company issues any Dilution Instrument to any Person at a price lower than the Subscription Price with respect to each Investor (“Anti-dilution Event”), then each Investor shall be entitled to anti-dilution protection on a broad based weighted average basis in accordance with this Clause 13.6.
