Designated Firms definition

Designated Firms means Xxxxxx, Hall & Xxxxxxx LLP, Xxxxxx Xxxxxxx & Xxxxxxx LLP, Wood, Herron & Xxxxx L.L.P., Xxxxx Xxxxx Xxxx LLC and Xxxxxxx Head & Xxxxxxx LLP.
Designated Firms has the meaning set forth in Section 15.16(a).
Designated Firms means Sidley Austin LLP, Weil Gotschal & Xxxxxx LLP and any other outside counsel that otherwise may have been retained by Seller or any of its Affiliates (including the Company) in connection with the transactions contemplated by this Agreement or any other representation of the Company.

Examples of Designated Firms in a sentence

  • The purpose of this cap would be to ensure that as usage patterns change, Designated Firms are not required to bear costs of access provision that are not reasonably proportionate to the usage of the services.

  • To the extent the ordering of the reduction is required by Section 409A of the Code or other tax principles to be done other than by the Participant, the Designated Firm(s) (as hereinafter defined) shall determine the ordering of any reduction to achieve the most favorable economic benefit to the Participant.

  • At that point unless Customer objects, SunGard, through its system resources, will start the process to cut-over Customer’s Designated Firms to the Phase3 Disaster Recovery System (a “Cut-over”).

  • Any reduction in the Payments as determined by the Designated Firm(s) shall be applied first against the latest scheduled cash payments; then current cash payments; then any equity or equity derivatives that are included under Section 280G of the Code at an accelerated value (and not at full value) shall be reduced with the highest value reduced first (as such values are determined under Treasury Regulation section 1.280G-1, Q&A 24); finally any other non-cash benefits will be reduced.

  • To the extent the ordering of the reduction is required by Section 409A or other tax principles to be done other than by the Participant and to be more specifically set forth in advance then such reduction to achieve the most favorable economic benefit to the Participant shall be determined by the Designated Firm(s).

  • All fees and expenses of the Designated Firm(s) shall be borne solely by McKesson.

  • SunGard will provide notice to Customer when SunGard makes the dedicated Phase3 Disaster Recovery System available to Customer (“Hot-site Availability Date”) for backup of Customer’s data on its Designated Firms.

  • The Transition Project Plan will provide for a date that the dedicated Phase3 hot-site recovery system (“Phase3 Disaster Recovery System”) is expected to be available to Customer for backup of Customer’s data of its Designated Firms and for cutover during a Business Outage Event (as defined below).

Related to Designated Firms

  • Selected Firm means the firm who is selected by the City and to whom the City Council/City Manager awards a contract for the services or commodities requested in this solicitation.

  • Designated Investor means an Investor (a) that has been approved in writing as a Designated Investor by Administrative Agent and the Required Lenders, in their sole discretion, and (b) in respect of which there has been delivered to Administrative Agent:

  • Designated Holder means the Holder of Note A-1.

  • Designated Entity shall have the same meaning provided in the Operating Agreement. Direct Assignment Facilities:

  • Designated Group means - i) Black designated groups; ii) Black People; iii) Women; iv) people with disabilities or v) Small enterprise, as defined in Section 1 of National Small Enterprise Act, (102 of 1996)

  • Non-Investment Personnel means any Employee that does not meet the definition of Investment Personnel as listed above.

  • Management Investor means any officer, director, employee or other member of the management of the Company or any of its Subsidiaries, or family members or relatives thereof, or trusts or partnerships for the benefit of any of the foregoing, or any of their heirs, executors, successors and legal representatives.

  • Designated Affiliate means the affiliates of the Corporation designated by the Committee for purposes of the Plan from time to time;

  • Designated member means the spouse, child, grandchild, parent, brother, or sister of a deceased individual who owned an interest in a wholesaler, who is entitled to inherit the deceased individual's ownership interest in the wholesaler under the terms of the deceased individual's will, or who has otherwise been designated in writing by the deceased individual to succeed the deceased individual in the wholesaler's business, or is entitled to inherit such ownership interest under the laws of intestate succession of this state. With respect to an incapacitated individual owning an ownership interest in a wholesaler, the term means the person appointed by a court as the conservator of such individual's property. The term also includes the appointed and qualified personal representative and the testamentary trustee of a deceased individual owning an ownership interest in a wholesaler.

  • Designated Employer Representative (DER) means a designated school district representative authorized to take immediate action to remove employees from safety-sensitive duties, to make required decisions in the testing and evaluation process, and to receive test results and other communications for the school district.

  • Proposing Person means (1) the Record Stockholder providing the notice of business proposed to be brought before an annual meeting or nomination of persons for election to the Board at a stockholder meeting, (2) the beneficial owner or beneficial owners, if different, on whose behalf the notice of business proposed to be brought before the annual meeting or nomination of persons for election to the Board at a stockholder meeting is made, and (3) any Associated Person on whose behalf the notice of business proposed to be brought before the annual meeting or nomination of persons for election to the Board at a stockholder meeting is made;

  • Eligible Recipients means all Employees, all Non-Employee Directors and all Consultants.

  • Designated Financial Institution shall have the meaning specified in Section 14.12(a).

  • investment firm means any legal person whose regular occupation or business is the provision of one or more investment services to third parties and/or the performance of one or more investment activities on a professional basis;

  • Investment Personnel means: (a) Portfolio Managers and other Advisory Persons who provide investment information and/or advice to the Portfolio Manager(s) and/or help execute the Portfolio Manager's(s') investment decisions, including securities analysts and traders; (b) any natural person in a control relationship to the Fund who obtains information concerning recommendations made to the Fund with regard to the purchase or sale of a security; and (c) certain other individuals as designated by the Compliance Officer.

  • Management Stockholder shall have the meaning set forth in the introductory paragraph.

  • Designated family member means any of the following:

  • Professional Investor means an investor who possesses the experience, knowledge and expertise to make its own investment decisions and properly assess the risks that it incurs. Professional investors include, among others, entities which are required to be authorised or regulated to operate in the financial markets, large undertakings, and other institutional investors whose main activity is to invest in financial instruments;

  • Authorized Company Representative means any person who, at the time, shall have been designated to act on behalf of the Company by a written certificate furnished to the Issuer, the Remarketing Agent and the Trustee containing the specimen signature of such person and signed on behalf of the Company by any officer of the Company. Such certificate may designate an alternate or alternates.

  • Independent Adviser means an independent financial institution of international repute or other independent financial adviser experienced in the international debt capital markets, in each case appointed by the Issuer at its own expense;

  • Independent Advisor means a reputable accounting, appraisal or nationally recognized investment banking, engineering or consulting firm (a) which does not, and whose directors, officers and employees or Affiliates do not, have a direct or indirect material financial interest in the Company and (b) which, in the judgment of the Board of Directors of the Company, is otherwise disinterested, independent and qualified to perform the task for which it is to be engaged.

  • sponsoring firm means the firm registered in a jurisdiction of Canada on whose behalf an individual acts as a dealer, an underwriter, an adviser, a chief compliance officer or an ultimate designated person;
