  • Except as expressly provided herein, the sale of the DEJ Shares to First Look shall be on an “as is, where is” basis and without reliance on representations or warranties of any kind, nature, or description by the DEJ Parties, their agents or their representatives, except to the extent explicitly set forth in this Agreement.
