The Grantor Trust Trustee, in its capacity as “Grantor Trust Certificate Registrar” (the “Grantor Trust Certificate Registrar”) shall maintain at its Corporate Trust Office, or at the office of any agent appointed by it and approved in writing by the Grantor Trust Certificateholders at the time of such appointment, a register (the “Grantor Trust Certificate Register”) for the registration and transfer of any Grantor Trust Certificate.

If at any time the Issuer shall fail to maintain any such office or agency or shall fail to furnish the Indenture Trustee and the Owner Trustee with the address thereof, such surrenders, notices and demands may be made or served at the applicable Corporate Trust Office, and the Issuer hereby appoints the Certificate Registrar as its agent to receive all such surrenders, and the Owner Trustee as its agent to receive all such notices and demands.
