The Delaware Trustee shall have no liability for the acts or omissions of the Owner Trustee.
This Agreement shall inure to the benefit of and be binding upon the parties hereto and their respective successors and permitted assigns and each of Citibank, N.A., in its individual capacity and as Owner Trustee, and Citicorp Trust Delaware, National Association, in its individual capacity and as Delaware Trustee, shall be express third party beneficiaries hereof and may enforce the provisions hereof as if it were a party hereto.

Any successor Delaware Trustee appointed pursuant to this Section 10.3 shall promptly file an amendment to the Certificate of Trust with the Delaware Secretary of State identifying the name and principal place of business of such successor Delaware Trustee in the State of Delaware.
Santander Consumer shall pay (i) fees, expenses, indemnities and disbursements of (x) the Indenture Trustee to the extent required under Section 6.7 of the Indenture and (y) the Owner Trustee and the Delaware Trustee to the extent required under Sections 8.1 and 8.2 of the Trust Agreement and (ii) organizational expenses of the Issuer.
