Converted Option Shares definition

Converted Option Shares has the meaning set forth in Section 2.6(f).
Converted Option Shares means the number of East Penn Financial Shares represented by the East Penn Financial Options that are exercised between the date of this Agreement and prior to the Effective Time.

  • The "Net Value" of the Converted Option Shares shall be determined by subtracting the aggregate option purchase price of the Converted Option Shares from the Market Price of the Converted Option Shares.

Related to Converted Option Shares

  • Converted Shares means the Subject Equity Shares resulting from the conversion of Restricted Voting Shares into the Subject Equity Shares pursuant to subparagraph (ii);

  • Unissued Option Shares means the number of Shares, at a particular time, which have been reserved for issuance upon the exercise of an Option but which have not been issued, as adjusted from time to time in accordance with the provisions of section 5, such adjustments to be cumulative.

  • Per Share Stock Consideration has the meaning set forth in Section 3.01(a)(i).

  • Optioned Shares means Shares subject to an Award granted pursuant to this Plan.

  • Stock Election Shares shall have the meaning set forth in Section 3.2.1.

  • A Shares means a participating share of no par value in the capital of the Fund, denominated in US Dollars;

  • Series B Shares means the shares of Fixed Rate Cumulative Perpetual Preferred Stock, Series B, of the Company.

  • Founder Shares shall have the meaning given in the Recitals hereto and shall be deemed to include the shares of Common Stock issuable upon conversion thereof.

  • Shares means the shares of Common Stock issued or issuable to each Purchaser pursuant to this Agreement.

  • Unit Shares means the Common Shares comprising part of the Units;

  • Series C Shares means the shares of Fixed Rate Cumulative Perpetual Preferred Stock, Series C, of the Company.

  • Common Stock Consideration has the meaning set forth in Section 1.6(b).

  • Remaining Shares has the meaning set forth in Section 4.1.2.

  • Related Option means an Option with respect to which a Stock Appreciation Right has been granted.

  • Common Share Equivalent shall have the meaning ascribed to it in Section 11(a)(iii) hereof.

  • Series B Warrants means, collectively, the Series B Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof and the other Series B Warrants contemplated under Section 2.1 to be issued concurrently at the Closing, which Series B Warrants shall be exercisable beginning immediately and have a term of exercise equal to five (5) years, in the form of Exhibit B-2 attached hereto.
