Control Account Letter definition

Control Account Letter means a letter agreement, substantially in the form of Exhibit C (with such changes thereto as may be agreed to by the Collateral Agent with the written consent of the Applicable Representative), executed by any Grantor and the Collateral Agent and acknowledged and agreed to by the relevant Approved Securities Intermediary.
Control Account Letter has the meaning specified in the Pledge and Security Agreement.
Control Account Letter has the meaning assigned to such term in the Security Agreement.

  • If any term or provision of this Control Account Letter is determined to be invalid or unenforceable, the remainder of this Control Account Letter shall be construed in all respects as if the invalid or unenforceable term or provision were omitted.

  • Blocked Account Agreement means with respect to an account established by a Loan Party, an agreement, substantially in the form of Exhibit L hereto or otherwise in form and substance reasonably satisfactory to the Collateral Agent, establishing Control (as defined in the Security Agreement) of such account by the Collateral Agent and whereby the bank maintaining such account agrees, during any Cash Dominion Trigger Period, to comply only with the instructions originated by the Collateral Agent without the further consent of any Loan Party.
