Consent Fee Letter definition

Consent Fee Letter has the meaning given to such term in the First Amendment and Restatement Agreement.
Consent Fee Letter means that certain Backstop and Consent Fee Letter, dated as of the Effective Date, by and among the Borrower, the Administrative Agent and the Lenders party to this Agreement on the Effective Date.
Consent Fee Letter means that certain fee letter, dated as of August 6, 2009, by and among Agent, OED, DJL, CIT Lending Services Corporation and American Trust and Savings Bank.

  • Pursuant to Section 9.02 of the Existing Indenture, the following term is added in Section 1.01 in the appropriate alphabetical order: ““Consent Fee Letter” means that certain Consent Fee Letter, entered into as of October 7, 2021, among the Issuer and the beneficial owners of the Securities as of such date.

More Definitions of Consent Fee Letter

Consent Fee Letter means the letter dated on or about the date of this Deed between the Company and the Agent setting out the amount of the fee referred to in Clause 6 (Consent Fee).

  • Agent Fee Letter means the Agent Fee Letter between Borrower and Agent, dated as of the Closing Date, as the same may from time to time be amended, restated or otherwise modified.

  • Consent Fees With respect to any Serviced Loan, any and all fees actually paid by a Mortgagor with respect to any consent or approval (or review thereof) required or requested pursuant to the terms of the Loan Documents that does not involve a modification evidenced by a signed writing, assumption, extension, waiver or amendment of the terms of the Loan Documents.

  • Agent's Fee Letter means the letter agreement, dated as of the date hereof (as hereafter amended from time to time) between the Borrower and the Agent respecting certain fees payable to the Agent for its own account.

  • Fee Letter means the letter agreement, dated as of the Closing Date, between the Borrower and the Administrative Agent.

  • Management Fee Subordination Agreement means that certain Amended and Restated Management Fee Subordination Agreement, dated as of the Closing Date, by and between the Sponsor and Agent and acknowledged by the Borrower.

  • Administrative Agent Fee Letter means the Administrative Agent Fee Letter dated as of the Closing Date between the Borrower and the Administrative Agent.

  • Fee Letters means, collectively, (a) the Arranger Fee Letter and (b) the Administrative Agent Fee Letter.

  • GE Capital Fee Letter means that certain letter, dated as of the Closing Date, between GE Capital and Borrower with respect to certain Fees to be paid from time to time by Borrower to GE Capital.

  • Consent Agreement means this Consent Agreement, duly signed and concluded between the Commission and the Respondent, as contemplated in section 40(1) of the Act.

  • Side Letter means any side letter executed by an Investor with any Borrower or the Investment Adviser with respect to such Investor’s rights and/or obligations under its Subscription Agreement and any other applicable Operative Document.

  • Forbearance Agreement means the forbearance agreement entered into by Granite Co. prior to the implementation of the 2011 Arrangement.

  • Arrangement Fee has the meaning specified in Section 2.05(a).

  • Reimbursement Agreement as defined in Section 2.8(b).
