Confidential Information Materials definition

Confidential Information Materials means the confidential information materials dated December 2012 relating to the Borrowers and the Transactions.

Confidential Information Materials. The collective reference to the confidential information with respect to the Borrower and the revolving credit facility evidenced by the Existing Agreement, together with the information provided by, or on behalf of, the Borrower to the Lenders in connection with this Agreement.

Confidential Information Materials means any and all proprietary and/or Confidential Information (as defined in Article 7), materials, and data, including all scientific, pre-clinical, clinical, regulatory, process, formulation, manufacturing, marketing, financial and commercial information or data, compounds, biomarkers, whether communicated in writing or orally or by any other method, which are provided by one Party to the other Party prior to or during the Term of this Agreement.

• Each Lender, by its signature to this Agreement, acknowledges and agrees that the Agent has made no representation or warranty, express or implied, with respect to the creditworthiness, financial condition, or any other condition of Borrower or any Subsidiary, or with respect to the statements contained in the Confidential Information Materials or in any other oral or written communication between the Agent and such Lender.

• Executive shall immediately return to Company all Confidential Information, Materials and Company Materials, including all copies and summaries thereof, when Executive's employment by Company ends for any reason or at any time when Company may otherwise require that such Confidential Information, Materials or Company Materials be returned.

• Particularly, but without limitation, the subcontracting Party must ensure that the provisions protecting and limiting use, disclosure and publication of Confidential Information, Materials, Project Compounds, Intellectual Property Rights and Know-How flow down through to the Subcontractor and that it is granted by the Subcontractor all rights to the subcontracted works as necessary to fulfill its obligations under this Agreement.

• Except as explicitly set forth in this Agreement, each Party will retain all its right, title, and interest in and to its Confidential Information, Materials and Background IP.

• Consultant shall exercise all commercially reasonable precautions to protect the integrity and confidentiality of the Confidential Information, Materials and Third-Party Confidential Information.
