Company Net Working Capital Amount means (a) the aggregate dollar amount of all assets characterized as current assets of the Company (including cash and cash equivalents of the Company) under GAAP, less (b) the aggregate dollar amount of all liabilities characterized as current liabilities of the Company (including all Indebtedness of the Company and Transaction Expenses) under GAAP, in the case of each of clause (a) and clause (b), as of immediately prior to the Closing. The Company Net Working Capital for all purposes of this Agreement shall be as determined in accordance in all respects with GAAP applied on a basis consistent with the Company’s past practices used in preparing the Company Financial Statements.

Company Net Working Capital Amount means the working capital calculated as of June 30, 2011 in accordance with Schedule 12;

Company Net Working Capital Amount means “Two Million US Dollars (USD$2,000,000)”.

The Company covenants and agrees that, at Closing, (a) the Company Net Working Capital Amount shall be no less than negative twenty-five thousand dollars, and (b) the Company will have an amount of cash sufficient for Parent and/or the Company to satisfy its Tax withholding obligations with respect to the issuance of Carve-Out Plan Closing Shares.
If the Seller 1 within Thirty (30) Business Days following the Seller 1’s receipt of the Final Company Net Working Capital Calculation gives Purchaser written notice of its objections to the Final Company Net Working Capital Calculation, Seller 1 and Purchaser, and their respective Representatives, shall attempt in good faith to agree upon the Company Net Working Capital Amount as of Closing.
The “ Working Capital Adjustment” shall mean an amount equal to the difference between the Company Net Working Capital Amount as conclusively determined pursuant to Paragraphs 3.3.1 through 3.3.3 and the Estimated Company Net Working Capital Amount.
If the Company Net Working Capital Amount is lower than the Estimated Company Net Working Capital Amount, then, within thirty (30) Business Days of the conclusive determination of the Company Net Working Capital Amount, Seller 1 shall pay to Purchaser the Working Capital Adjustment, such payment to be made by wire transfer of immediately available funds to a bank account specified by Purchaser in writing.
Within Forty (40) Business Days following the Closing Date, Purchaser shall prepare and deliver to the Seller 1 a final calculation of the Company Net Working Capital Amount in accordance with the Accounting Procedures (the “ Final Company Net Working Capital Calculation”).

Related to Company Net Working Capital Amount

Net Working Capital Amount means, with respect to a Participating McNeil Partnership, the excess of the Positive Excess Cash Balance of such Participating McNeil Partnership over the cash on hand of such Participating McNeil Partnership immediately prior to the Effective Time.
Target Working Capital Amount means Nineteen Million Dollars ($19,000,000).
Target Net Working Capital Amount means $5,000,000.
Working Capital Amount shall have the meaning specified in Section 3.4(e).
Net Working Capital Adjustment Amount means an amount (which may be a positive or negative number) equal to (a) the Closing Date Net Working Capital minus (b) the Target Net Working Capital.
Net Working Capital Adjustment means (a) the amount by which Net Working Capital as of immediately prior to the Closing exceeds Target Net Working Capital or (b) the amount by which Net Working Capital as of immediately prior to the Closing is less than Target Net Working Capital, in each case, if applicable; provided, that any amount which is calculated pursuant to clause (b) above shall be deemed to be a negative number.
Net Working Capital means, at any time, Consolidated Current Assets at such time minus Consolidated Current Liabilities at such time.
Target Working Capital means $0.
Net Working Capital Target means $0.00.
Target Net Working Capital means $0.
Closing Net Working Capital means the Net Working Capital as of the open of business on the Closing Date.
Estimated Closing Net Working Capital has the meaning set forth in Section 2.6(a).
Final Net Working Capital shall have the meaning set forth in Section 2.3(b)(ii).
Estimated Net Working Capital shall have the meaning set forth in Section 2.3(a).
Consolidated Working Capital Adjustment means, for any period on a consolidated basis, the amount (which may be a negative number) by which Consolidated Working Capital as of the beginning of such period exceeds (or is less than) Consolidated Working Capital as of the end of such period.
Final Closing Net Working Capital has the meaning set forth in Section 2.6(c).
Working Capital Adjustment Amount means the amount (which may be positive or negative) equal to the result of the Closing Net Working Capital minus the Target Working Capital Amount.
Working Capital Adjustment has the meaning set forth in Section 2.15(b).
Closing Date Net Working Capital means the Net Working Capital as of the Closing Date.
Closing Working Capital means: (a) the Current Assets of the Company, less (b) the Current Liabilities of the Company, determined as of the close of business on the Closing Date.
Working Capital Target means $0.
Estimated Closing Working Capital has the meaning set forth in Section 2.04(a)(ii).
Estimated Working Capital Adjustment shall have the meaning set forth in Section 2.2(b).
Final Closing Working Capital has the meaning set forth in Section 2.5(d).
Working Capital Deficit means the amount, if any, by which the Closing Working Capital is less than the Target Working Capital.
Working Capital Advance has the meaning specified in Section 2.01(c).
