Company Debt Amount definition

Company Debt Amount means all amounts (including outstanding principal balances, accrued interest and all penalties, fees and expenses of payment or prepayment) payable in connection with the payment in full of all Indebtedness of the Company outstanding on the Closing Date and the cancellation, termination and release as of the Closing Date of all Contracts and Liens of the Company outstanding on the Closing Date relating to or evidencing Indebtedness of the Company, in each case to the extent necessary to obtain good, valid and marketable title to the Assets free and clear of all Liens.
Company Debt Amount means the amount of all Company Debt as of the Closing (without giving effect to the payment of any Company Debt at the Closing pursuant to Section 1.3(b)(iv)(B)), as determined in accordance with GAAP and reflected on the Final Closing Date Balance Sheet.
Company Debt Amount means (i) the Debt Payoff Amount, plus (ii) the Accrued Income Taxes, plus (iii) the amount accruable, as of 12:01 a.m., Portland, Oregon time on the Closing Date, by the Company and its Subsidiaries (determined on a consolidated basis in accordance with the Accounting Principles) with respect to all Assumed Debt other than the Accrued Income Taxes plus (iv) the ABC Notes (to the extent not included in (i) – (iii) above).

More Definitions of Company Debt Amount

Company Debt Amount means the amount of all outstanding Company Debt as of the Closing (without giving effect to the payment of any Company Debt at the Closing pursuant to Section 1.3(d)(ii)).
Company Debt Amount means the sum of (a) the Capitalized Lease Amount, plus (b) the Avaya Debt, plus (c) the Congress Debt.
Company Debt Amount shall have the meaning set forth in Section 5.10.
Company Debt Amount means the aggregate amount of all outstanding Company Debt as of immediately prior to the Closing.
Company Debt Amount means any liability of the Company (a) for outstanding amounts relating to borrowed money (including the current portion thereof and any accrued interest), (b) for payment of money relating to the leases that are required to be classified as capitalized leases in accordance with GAAP (other than the Parent Capitalized Leases), in each case, as of the close of business on the day immediately preceding the Closing Date, and (c) all prepayment premiums or penalties and fees, costs and expenses (if any) related to any part of the foregoing to the extent paid or payable at or after Closing.
Company Debt Amount means the aggregate outstanding balance of all Company Debt (principal and accrued interest) of the Company as of the Closing Date (excluding any Company Debt which is discharged by or on behalf of the Company prior to or in connection with the Closing).

Related to Company Debt Amount

  • Debt Amount means all accrued and unpaid interest and any “make whole” payments or breakage fees (less any breakage benefits) which Project Co is obligated to pay to Lender pursuant to the Lending Agreements, together with the outstanding principal amount of debt funded under the Lending Agreements.

  • Company Debt shall have the meaning set forth in Section 6.13.
