Sale Amount means, with respect to any Portfolio Asset that is the subject of a binding commitment of the Reference Entity to sell such Portfolio Asset, the anticipated net cash proceeds that will be received by the Reference Entity from the sale of such Portfolio Asset, exclusive of accrued interest and capitalized interest and net of any Costs of Assignment.
Sale Amount means the consideration payable by the Purchasers under the SSPA to the Vendors, for the purchase of the Sale Shares which is an amount equivalent to seventy million six hundred sixty thousand Euro (€70,660,000), payable in cash or kind instalments as stipulated in the SSPA;
Sale Amount means with respect to any Sold Receivable, the amount received from the applicable third-party purchaser as payment for such Sold Receivable, which amount shall be determined in accordance with Section 8.05(a).
Sale Amount means the dollar amount actually and indefeasibly received on account of the sale of Eligible Inventory, less the amount of shipping, handling, taxes and like, as determined by Buyer, in its sole discretion, which shall be final, conclusive and binding on Buyer and Seller.
Sale Amount means an amount equal to the whole of the sale proceeds of “DELRAY” which, as at the date of the Second Amending and Restating Agreement, is standing to the credit of the Sale Proceeds Account;
Sale Amount means, for any sale of Shares pursuant to Sections 2.3(c), 3.3 or 3.4 of this Agreement on any date, (i) if such sale is pursuant to a Registration Statement in accordance with Section 3.6, the number of Shares so sold on such date MULTIPLIED BY the Reference Price for such date, or (ii) if such sale is on a private placement basis (or on another basis not involving a sale pursuant to a Registration Statement) as provided in Section 3.6, the aggregate proceeds received in respect of such sale.
