Company Class B Shares definition

Company Class B Shares means the class B shares of the Company, with no nominal value.

Company Class B Shares means the Class B Shares, par value $0.01 per share, of the Company (other than the 400,000 restricted stock units issued in the form of Company Class B Shares, which, for the avoidance of doubt, shall be treated as Company RSUs for all purposes of this Agreement (including any calculation made on a Fully Diluted Basis) other than the representations and warranties in Section 4.2).

• The weighted voting rights attached to the Successor Company Class B Shares will cease when the WVR Beneficiaries cease to have any beneficial ownership of the Successor Company Class B Shares, in accordance with Listing Rule 8A.22.

• Under this WVR structure, the Successor Company’s share capital will comprise the Successor Company Class A Shares and the Successor Company Class B Shares.

More Definitions of Company Class B Shares

Company Class B Shares means the Company’s Class B ordinary shares with a per share par value of $0.0001 each having the rights set out in the Memorandum and Articles of Association.

Company Class B Shares means Company Class B Common Shares and Company Class B Non-Voting Common Shares.

Company Class B Shares means Class B Shares of the Company created pursuant to the Company Operating Agreement.
