Commercialisation Expenses definition

Commercialisation Expenses means the expenses incurred in commercialising intellectual property. It includes but is not limited to: • patenting expenses• external professionals advisors (for example accountants’ fees, lawyers’ fees, consultant fees and other external fees) incurred during the course of the commercialisation process• travel and accommodation expenses incurred during the course of the commercialisation process by any person, whether this be a staff member or an external advisor• taxes paid by Lincoln Commercialisation Expenses will not include: • Lincoln’s internal administration expenses• the cost of undertaking research.

Commercialisation Expenses means the expenses incurred by QUT or qutbluebox in the production, development, protection, marketing and commercialisation of QUT intellectual property. “commercialisation revenue” means the gross cash revenue received by QUT or qutbluebox from the commercialisation of QUT intellectual property and does not include payments pursuant to a research or consulting agreement or payments used to subscribe for equity in a company. “contributor” means any other staff member, student or visitor (D/3.1.8) who has substantially assisted with the development of QUT intellectual property other than a creator, as determined by the Deputy Vice-Chancellor and Vice-President (Research and Innovation).

  • For the avoidance of doubt, any Commercialisation Expenses incurred prior to Regulatory Approval of an Antibody Product shall be charged to the Product Contribution and be borne by the Parties on a 50:50 basis.

  • Commercialization Costs means the out-of-pocket costs and expenses incurred by Adapt or its Affiliates directly attributable to, or reasonably allocable to, the Commercialization of a Product. Commercialization Costs for a Product shall include, preparation of promotional, advertising, communication, medical, and educational materials relating to the Product and other Product literature and selling materials, activities directed to marketing of the Product, including purchase of market data, development and conduct of market research, advertising, public relations, public affairs and other communications with Third Parties regarding the Product; development and conduct of sales force training (including materials, programs and travel to and attendance at training programs) for medical representatives responsible for promoting the Product; and development and maintenance of sales bulletins, call reporting and other monitoring/tracking, sales force targeting, validation and alignment programs and documentation.

  • Development Expenses means, with respect to SAIL Developments as well as HOME Developments when the HOME Development is also at least partially financed with a MMRB Loan (as defined in rule Chapter 67-21, F.A.C.), usual and customary operating and financial costs, such as the compliance monitoring fee, the financial monitoring fee, replacement reserves, the servicing fee and the debt service reserves. As it relates to SAIL Developments as well as HOME Developments when the HOME Development is also at least partially financed with a MMRB Loan (as defined in rule Chapter 67-21, F.A.C.) and to the application of Development Cash Flow described in subsections 67-48.010(5) and (6), F.A.C., as it relates to SAIL Developments or in paragraph 67-48.020(3)(b), F.A.C., as it relates to HOME Developments, the term includes only those expenses disclosed in the operating pro forma on an annual basis included in the final credit underwriting report, as approved by the Board, and maximum of 20 percent Developer Fee per year.

  • Transition Expenses The reasonable costs (including reasonable attorneys’ fees) of the Backup Servicer incurred in connection with the transferring the servicing obligations under this Agreement and amending this Agreement to reflect such transfer in an amount not to exceed $100,000.

  • Litigation Expense means any expenses reasonably incurred in connection with investigating, defending or asserting any claim, action, suit or proceeding incident to any matter indemnified against under this Agreement, including, without limitation, court filing fees, court costs, arbitration fees or costs, witness fees, and fees and disbursements of legal counsel, investigators, expert witnesses, accountants and other professionals.

  • Disposition Expenses means reasonable out-of-pocket expenses incurred by the Servicer in connection with the sale at auction or other disposition of a Leased Vehicle by the Servicer.

  • Program Costs means all necessary and incidental costs of providing program services.
