If senior management cannot reach agreement within thirty (30) days of elevation, then the pricing negotiation becomes a dispute to be arbitrated by a reputable industry consultant, such as CMAI, to be mutually agreed upon by Buyer and Seller; provided, however, that during periods of such arbitration the price mechanism shall continue under the then current price mechanism until the resolution of such arbitration.
This Contract (a) shall terminate immediately upon the effective date of any later dated agreement relating to the subject matter hereof, and (b) may be terminated upon 60 days notice without penalty by a vote of the Trustees or by CMAI or otherwise in accordance with the Act and will terminate immediately in the event of assignment (as defined under the Act).

Payments by the Trust to CMAI and its affiliates other than any prescribed by Section 6A which may be indirect financing of distribution costs are authorized by this Plan.
In the event CMAI does not provide such reports and services, this Warrant shall be null and void in its entirety and will never become exercisable.
If in any given Month the Parties are unable to agree on either the PGP Reference Price or the CGP Reference Price and a range of prices are reported by CMAI for such Month for the applicable benchmark, then the applicable CMAI price to be used hereunder for calculating the Purchase Price shall equal the arithmetic average of the CMAI listed benchmark prices for the applicable Product.
The parties acknowledge that the marketplace for Large Volume\Long- Term contract sales of Polymer Grade Propylene by pipeline deliveries on the Texas Gulf Coast is determined by the application of a contractually agreed-to discount from a base contract price or range of base contract prices established monthly between suppliers and purchasers of propylene, and that such base contract prices are published monthly by CMAI in their Monomers Market Report.
