Cash Flow Adjustment Amount definition

Cash Flow Adjustment Amount means an amount equal to the product of (i) the number of calendar days elapsed from (and including) May 1, 2014 through (and including) the Closing Date and (ii) Ten Million Dollars ($10,000,000).
