Cash Electing Share definition

Cash Electing Share has the meaning specified in Section 3.1(c)(i).

Cash Electing Share means a Company Common Share to be exchanged for the Per Share Cash Amount as determined pursuant to Section 4.1 and Section 4.2;

Cash Electing Share means Broadcom Common Shares outstanding immediately prior to the Cash/Stock Effective Time as to which a valid Election has been made to receive cash in the Cash/Stock Merger.

Examples of Cash Electing Share in a sentence

• Each (i) Non-Electing Share and (ii) Company Share deemed issued with respect to an In-the-Money Company Option as described in Section 2.07(d)(i) shall be deemed to have made a Cash Election and shall be treated as a Cash Electing Share for purposes of this Section 2.03(d).

• Until so surrendered, each such Certificate/Book-Entry Share shall represent after the Effective Time for all purposes only the right to receive the Cash Election Price for each Cash Electing Share represented by such Certificate/Book-Entry Share.

• Each (i) Non-Electing Share and (ii) Company Share to be deemed issued with respect to an In-the-Money Company Option as described in Section 2.07(d)(i) shall be deemed to have made a Cash Election and shall be treated as a Cash Electing Share for purposes of this Section 2.03(b).

More Definitions of Cash Electing Share

Cash Electing Share means a Company Outstanding Share as to which a valid Election has been made to receive cash.

Cash Electing Share. ’ means each share of Stewart common stock with respect to which a cash election has been properly made and not revoked;

Cash Electing Share means each FGL ordinary share with respect to which a cash election has been properly made and not revoked;

Cash Electing Share means a share of Company Common Stock outstanding immediately prior to the Effective Time as to which a valid Election has been made to receive cash in the Merger, and “Cash Electing Shares Number” means the sum of (x) the number of Cash Electing Shares plus (y) the number of Dissenting Shares.

Cash Electing Share means a Tembec Share to be exchanged for the Per Share Cash Amount.
