Valid Election definition

Valid Election means, with respect to any Nominee, an irrevocable election to receive all or a portion of its Allocated Share in the form of OP Units or REIT Shares as indicated on the properly completed and timely received Consent Form of the Nominee or a Consent Form as to which any deficiencies have been waived by the REIT.
Valid Election means, with respect to any SPE LLC Interest, an irrevocable election to receive all or a portion of its Allocated Share in the form of OP Units and/or REIT Shares as indicated on the properly completed and timely received Consent Form of the holder of such SPE LLC Interest, as applicable, or a Consent Form as to which any deficiencies have been waived by the REIT.
Valid Election means, with respect to any Contributor in respect of its Contributed Interest, an irrevocable election to receive its Contribution Consideration in the form of cash or OP Units as indicated on the properly completed and timely received Election Form of the Contributor or an Election Form as to which any deficiencies have been waived by the REIT. Valid Election means, with respect to any RESI Equity Interest, an irrevocable election to receive all or a portion of the Merger Consideration in the form of cash, or OP Units or REIT Shares as indicated on the properly completed and timely received Election Form of the holder of such RESI Equity Interest or an Election Form as to which any deficiencies have been waived by the REIT. In no event shall a holder of any RESI Equity Interest be entitled to receive Merger Consideration in excess of the number of REIT Shares to which it is entitled as Merger Consideration, with each OP Unit being treated as a REIT Share and the amount of cash being treated as a number of REIT Shares equal to such amount of such cash divided by the IPO Price.
