Capco Conflict Matter definition

Capco Conflict Matter means the matters listed below (being matters where the Capco Directors shall be considered to have a conflict): (a) any decision by or on behalf of JVCo or any JVCo Subsidiary to enforce any of its rights under any guarantee provided by Capco or a member of Capco‟s Group to JVCo or any JVCo Subsidiary in accordance with its terms; (b) any decision by or on behalf of JVCo to enforce or defend any claim under the Business Management Agreement in accordance with its terms; (c) any decision by or on behalf of JVCo to enforce or defend any claim against Capco or a member of the Capco Group under an agreement entered into between JVCo and Capco or a member of the Capco Group in accordance with the terms of such agreement; and/or (d) any decision by or on behalf of JVCo whether or not to terminate the Business Management Agreement in accordance with clause 9.1 thereof; but excluding any decision which is a Shareholder Protection Matter;
Capco Conflict Matter means the matters listed below (being matters where the Capco Representatives shall be considered to have a conflict): (a) any decision by or on behalf of JV LLP or any JV LLP Subsidiary to enforce any of its rights under any guarantee provided by Capco or a member of Capco‟s Group to JV LLP or any JV LLP Subsidiary in accordance with its terms; (b) any decision by or on behalf of JV LLP to enforce or defend any claim under the Business Management Agreement in accordance with its terms; (c) any decision by or on behalf of JV LLP to enforce or defend any claim against Capco or a member of the Capco Group under an agreement entered into between JV LLP and Capco or a member of the Capco Group in accordance with the terms of such agreement; and/or (d) any decision by or on behalf of JV LLP whether or not to terminate the Business Management Agreement in accordance with clause 9.1 thereof; but excluding any decision which is a Member Protection Matter;

  • In such circumstances, Clause 9 shall apply save that, in respect of the Capco Conflict Matter: the Capco Directors shall have no vote and the TfL Directors shall have one collective vote and the resolution shall be passed only where the collective vote of the TfL Directors is exercised in favour of the resolution.

  • Potential conflict of interest means any action or any decision or recommendation by a person acting in a capacity as a public official, the effect of which could be to the private pecuniary benefit or detriment of the person or the person’s relative, or a business with which the person or the person’s relative is associated, unless the pecuniary benefit or detriment arises out of the following:

  • Subject Matter Expert means a person who has working or expert knowledge about a particular topic or field.

  • Subject Matter Experts has the meaning set forth in Section II.A.2.

  • Conflict of Interest means that because of other activities or relationships with other persons, a person is unable or potentially unable to render impartial assistance or advice to the State, or the person's objectivity in performing the contract work is or might be otherwise impaired, or a person has an unfair competitive advantage.

  • Secret Matter means any matter connected with or arising out of the performance of this Call Off Contract which has been, or may hereafter be, by a notice in writing given by the Customer to the Supplier be designated 'top secret', 'secret', or 'confidential';

  • Organizational Conflict of Interest means that because of other activities or relationships with other persons, a person is unable or potentially unable to render impartial assistance or advice to the Government, or the person's objectivity in performing the contract work is or might be otherwise impaired, or a person has an unfair competitive advantage. "Person" as used herein includes Corporations, Partnerships, Joint Ventures, and other business enterprises.

  • Actual conflict of interest means any action or any decision or recommendation by a person acting in a capacity as a public official, the effect of which would be to the private pecuniary benefit or detriment of the person or the person's relative or any business with which the person or a relative of the person is associated unless the pecuniary benefit or detriment arises out of circumstances described in subsection (7) of this section.”

  • Litigation means any action, suit or proceeding before any court, mediator, arbitrator or Governmental Authority.

  • Third Party Claims has the meaning set forth in Section 11.1.

  • Final Agreement means the agreement signed and ratified by the Parties at the end of Stage 5 of the BCTC Process.

  • Dispute means any dispute, controversy, claim or difference of whatever nature arising out of, relating to, or having any connection with this Agreement, including a dispute regarding the existence, formation, validity, interpretation, performance or termination of this Agreement or the consequences of its nullity and also including any dispute relating to any non-contractual rights or obligations arising out of, relating to, or having any connection with this Agreement.

  • Academic and professional matters means the following policy development and implementation matters:

  • transitional matter means a matter that needs to be dealt with for the purpose of effecting the transition from the provisions of the Acts amended by this Act as in force before this Act comes into operation to the provisions of those Acts as in force after this Act comes into operation.

  • Licensed Subject Matter means Patent Rights and/or Technology Rights.

  • Litigation support contractor means a contractor (including its experts, technical consultants, subcontractors, and suppliers) providing litigation support under a contract that contains the clause at 252.204-7014, Limitations on the Use or Disclosure of Information by Litigation Support Contractors.

  • Conflict means a situation in which a director has or can have, a direct or indirect interest that conflicts or possibly may conflict, with the interests of the Company;

  • Litigation Claims means the claims, rights of action, suits or proceedings, whether in law or in equity, whether known or unknown, that any Debtor or any Estate may hold against any Person or Entity, including, without limitation, the Causes of Action of the Debtors or their Estates, in each case solely to the extent of the Debtors’ or their Estates’ interest therein. A non-exclusive list of the Litigation Claims held by the Debtors as of the Effective Date will be Filed with the Plan Supplement, which will be deemed to include any derivative actions filed against any Debtor as of the Effective Date.

  • Third Party Consent means any Consent of a Person other than a Governmental Authority.

  • Parties has the meaning set forth in the Preamble.

  • Third Party Consents shall have the meaning set forth in Section 8.3.

  • Particulate matter means any airborne finely divided solid or liquid material with an aerodynamic diameter smaller than 100 micrometers.

  • Transactional Agreements means:

  • Conflict Minerals means: (i) columbite-tantalite (coltan), cassiterite, gold, wolframite, or their derivatives, which originate in the Democratic Republic of the Congo or a country that shares an internationally recognized border with the Democratic Republic of the Congo; or (ii) any other mineral or its derivatives determined by the Secretary of State of the United States to be financing conflict in the Democratic Republic of the Congo or a country that shares an internationally recognized border with the Democratic Republic of the Congo.
