Baylake Stockholder Approval definition

Baylake Stockholder Approval means the adoption and approval of this Agreement by the stockholders of Baylake, in accordance with the WBCL and Baylake Articles of Incorporation.

  • This Agreement may be amended, modified or supplemented by the parties at any time before or after Baylake Stockholder Approval and/or Nicolet Stockholder Approval is obtained; provided, however, that after Baylake Stockholder Approval and/or Nicolet Stockholder Approval is obtained, there may not be, without further approval of Baylake’s and Nicolet’s stockholders, respectively, any amendment of this Agreement that requires further approval under applicable Legal Requirements.

  • Baylake shall, as promptly as reasonably practicable after the date the Registration Statement is declared effective, take all action necessary, including as required by and in accordance with the WBCL, Baylake Articles of Incorporation and Baylake Bylaws to duly call, give notice of, convene and hold a meeting of its stockholders (the “Baylake Stockholders’ Meeting”) for the purpose of obtaining the Baylake Stockholder Approval.

  • Company Stockholder Approval has the meaning set forth in Section 4.2(b).

  • Parent Stockholder Approval means the affirmative vote of the holders of a majority of the shares of Parent Stock entitled to vote with respect to the approval of the Parent Stock Issuance.

  • Pre-approval means written notification via a pre-approval letter to Customer that Ameren Illinois has reviewed Customer's Application and determined that the project meets the program eligibility requirements for a maximum pre-approved incentive amount if the project is completed by the estimated completion date and all final application paperwork is submitted and approved.

  • Common Stockholders means holders of shares of Common Stock.

  • Parent Stock Plan has the meaning set forth in Section 6.2(a).

  • Stockholder Meeting means each annual or special meeting of stockholders of the Company, or any action by written consent of the Company’s stockholders in lieu thereof, and any adjournment, postponement, rescheduling, continuation or meeting held in lieu thereof;
