Assumed Employee Benefit Plans has the meaning set forth in Section 2.1(a)(xi).
Assumed Employee Benefit Plans. The foregoing provisions do not apply to any Employee Benefit Plans sponsored or maintained by any Target Company, which Employee Benefit Plans will continue to be sponsored and/or maintained by such Target Company pursuant to their terms.

Assumed Employee Benefit Plans means the American Assumed Employee Benefit Plans, the Dutch Assumed Employee Benefit Plans, the Australian Assumed Employee Benefit Plans and the German Assumed Employee Benefit Plans.
