Asset Portfolio definition

Asset Portfolio has the meaning set forth in Section 1.2(b).

Asset Portfolio means the [ * * * ] of the Workbook, as adjusted from time to time pursuant to Section 2.05. [ * * * ] is defined in Section 2.17.

• Any amount not paid for the Asset Portfolio hereunder as Cash Purchase Price shall be paid to Seller as the RPA Deferred Purchase Price pursuant to, and only to the extent required by, the priority of payments set forth in Sections 2.2(b) and (c) and otherwise pursuant to the terms of this Agreement (including Section 2.6).

• Without limiting the foregoing, Seller will, upon the request of Agent, file such financing or continuation statements, or amendments thereto or assignments thereof, and execute and file such other instruments and documents, that may be necessary or desirable, or that Agent may reasonably request, to perfect, protect or evidence such valid ownership of or first priority perfected security interest in the Asset Portfolio.

• Any Financial Institution may, in the ordinary course of its business at any time sell to one or more Persons (each a “Participant”) participating interests in its Pro Rata Share portion of the Asset Portfolio of the Financial Institutions in such Financial Institution’s Purchaser Group or any other interest of such Financial Institution hereunder.

• With respect to the acquisition of the Asset Portfolio on behalf of the Purchasers pursuant to this Agreement, Agent shall have the same rights and powers under this Agreement in its individual capacity as any Purchaser and may exercise the same as though it were not Agent, and the terms “Financial Institution,” “Related Financial Institution,” “Purchaser,” “Financial Institutions,” “Related Financial Institutions” and “Purchasers” shall include Agent in its individual capacity.

• Until Seller gives notice to Agent and the applicable Purchaser Agent(s) of another Discount Rate in accordance with Section 4.4, the initial Discount Rate for any portion of the Asset Portfolio transferred to the Financial Institutions pursuant to the terms and conditions hereof shall be the Alternate Base Rate.

More Definitions of Asset Portfolio

Asset Portfolio means, in respect of each Series, the assets comprised in the relevant Tangible Asset Portfolio together with each Murabaha Transaction (if any) relating to the Series and all other rights arising under or with respect to such Tangible Asset Portfolio and Murabaha Transactions (including the right to receive payment of the Deferred Sale Prices and any other amounts or distributions due in connection with the relevant Tangible Asset Portfolio), as the same may be commingled from time to time pursuant to clause 3.16 of the Master Trust Deed. For the avoidance of doubt, an Asset Portfolio for a Series may comprise solely of a Tangible Asset Portfolio (and no Murabaha Transactions);

Asset Portfolio in relation to a portfolio, means the portfolio of underlying assets comprising the portfolio;

Asset Portfolio means the Initial Asset Portfolio together with any Eligible Portfolio Assets which (i) have been acquired by the Issuer pursuant to the terms of the Initial Asset Sale and Purchase Agreement or the Purchase Undertaking (and any corresponding New Asset Sale Agreement); or (ii) may have been substituted for any Portfolio Assets, from time to time, in accordance with the terms of the Initial Asset Sale and Purchase Agreement, the Purchase Undertaking and any related Transfer Agreement or the Sale Undertaking and any related Transfer Agreement but excluding any Portfolio Assets in relation to which clause 2.3of the Initial Asset Portfolio Sale and Purchase Agreement or any equivalent provision in any sale and purchase agreement relating to any Eligible Portfolio Assets acquired by the Asset Purchaser pursuant to the Purchase Undertaking or the Sale Undertaking has become applicable and the Seller has paid an amount equal to the relevant purchase price for such Portfolio Asset to the Asset Purchaser;

Asset Portfolio means the portfolio of Reference Assets from time to time which as of the Issue Date, shall be the Initial Asset Portfolio.

Asset Portfolio means all Securities and other assets held in Accounts.
