Amalgamation Application definition
Amalgamation Application means the amalgamation application that will be filed with the Registrar under subsection 275(1)(a) of the BCBCA in order to give effect to the Amalgamation, substantially in the form attached hereto as Schedule C;
Amalgamation Application means the amalgamation application as contemplated by the BCBCA and in substantially the form set out in Exhibit “B” hereto;
Amalgamation Application means the amalgamation application in respect of the Amalgamation required by section 275(1)(a) of the Act to be filed with the Registrar, together with any changes to that application as permitted under this Agreement or as agreed to by the Amalgamating Parties;
Examples of Amalgamation Application in a sentence
The conditions set out in Sections 5.1 and 5.2 hereof will be conclusively deemed to have been satisfied, waived or released on: (a) the filing by Verdera and SubCo of the Amalgamation Application with the BC Registrar; and (b) and issuance of the POCML7 Shares to Verdera Shareholders who hold Verdera Shares immediately prior to the Effective Time.
More Definitions of Amalgamation Application
Amalgamation Application means the Form 13 - Amalgamation Application prescribed by the BCBCA to be completed and filed jointly by NewCo and AcquireCo with the Register of Companies under the BCBCA substantially in the form attached to the Amalgamation Agreement as Appendix II, giving effect to the Amalgamation upon and subject to the terms of this Agreement and the Amalgamation Agreement.
Amalgamation Application means the Form 13 to be jointly completed and filed by AIM and ▇▇▇▇▇ with the Registrar of Companies under the BCBCA, substantially in the form set forth in Schedule B hereto giving effect to the Amalgamation of Subco and ▇▇▇▇▇ upon and subject to the terms of this Agreement.
Amalgamation Application shall have the meaning set forth in Section 1.1.
Amalgamation Application means the Form 13 Amalgamation Application, which is required to be filed with the Registrar along with the Final Order and the Plan of Arrangement in order to effect the Amalgamation under the BCBCA;
Amalgamation Application means, collectively (i) a completed Form 13 – BC Company Amalgamation Application, S▇▇▇▇▇▇ ▇▇▇ ▇▇▇, (▇▇) a statement of an officer or director of each of SuperDate and SubCo, as required under the BCA, (iii) a copy of this Agreement or directors’ resolutions approving the Amalgamation, (iv) a covering letter to the Companies and Personal Property Security Branch, if required, for an application for amalgamation, and (v) the applicable filing fee payable to the Minister of Finance;
Amalgamation Application means the amalgamation application to be filed by the Amalgamating Companies with the Registrar in accordance with Section 275(1)(a) of the BCBCA;
Amalgamation Application means the Form 13, Amalgamation Application to be filed with the Registrar to effect the Amalgamation;
