Argyle Group definition

Argyle Group means, at any time, Argyle and any direct or indirect corporate subsidiaries of Argyle that would be eligible to join with Argyle, (i) with respect to U.S. Federal Taxes, in the filing of a consolidated U.S. federal income tax return if Argyle were not consolidated with Hearst and (ii) with respect to Combined State Taxes, in the filing of a consolidated, combined or unitary income or franchise tax return if Argyle were not consolidated, combined or filing on a unitary basis with any member of the Hearst Sub-Group.

  • Argyle agrees and acknowledges that Argyle shall be responsible for the performance by each member of the Argyle Group of the obligations hereunder applicable to such member.

  • Hearst will provide the tax services described in this Article II with respect to all of the separate state, local and foreign taxes of any members of the Argyle Group that do not relate to consolidated U.S. federal income taxes or Combined State Taxes.

  • Management Group means at any time, the Chairman of the board of directors, the Chief Executive Officer, the President, any Managing Director, Executive Vice President, Senior Vice President or Vice President, any Treasurer and any Secretary of Holdings or other executive officer of Holdings or any Subsidiary of Holdings at such time.

  • Keystone means Keystone Underwriting Pty Ltd ABN 78 601 944 763 as Corporate Authorised Representative (No. 000468712) of Keystone Underwriting Australia Pty Ltd ABN 59 634 715 674 AFSL 518224 which is acting on behalf of Underwriters.

  • Constellation has the meaning assigned to that term in the Recitals.

  • DBS Group means any of DBS’s subsidiaries, DBS’s holding company and any subsidiaries of DBS’s holding company;

  • Liberty means Liberty Media Corporation, a Delaware corporation.

  • Client Group means Client, any corporate body of which Client is a subsidiary (as defined by s. 1159 of the Companies Act 2006), any other subsidiary of such corporate body and any subsidiary of Client;

  • GP means Gottbetter & Partners, LLP.

  • IOSCO means the International Organisation of Securities Commissions.

  • Operating Company means an “operating company” within the meaning of 29 C.F.R. §2510.3-101(c) of the Plan Asset Regulations.

  • Asset Management Plan means a plan created by the department and approved by the state transportation commission or a plan created by a local road agency and approved by the local road agency's governing body that includes provisions for asset inventory, performance goals, risk of failure analysis, anticipated revenues and expenses, performance outcomes, and coordination with other infrastructure owners.

  • Corporate Group means the Corporation and its Subsidiaries treated as a single consolidated entity.
