Appreciation Amount definition

Appreciation Amount for each SSAR, is calculated as the (i) the lesser of (x) the Exercise FMV and (y) the Maximum Value, minus (ii) $ [ ], which is the Fair Market Value of one Share on the Date of Grant.
Appreciation Amount. With respect to the first Quarterly Valuation Date, an amount equal to the Capped Equity Value minus the Equity Notional Amount and thereafter, except for a final Quarterly Valuation Date, an amount equal to the Capped Equity Value calculated on the relevant Quarterly Valuation Date minus the Capped Equity Value calculated on the immediately preceding Quarterly Valuation Date, as applicable. On a final Quarterly Valuation Date, the Appreciation Amount will be an amount equal to the Equity Value calculated on such final Quarterly Valuation Date minus the Capped Equity Value calculated on the immediately preceding Quarterly Valuation Date.
Appreciation Amount for a calendar year shall mean the product of Your Value Points outstanding on the last day of the calendar year times the applicable Earnings per Value Point for such calendar year, all as provided below.
