Applicable Warrant Price definition

Applicable Warrant Price means, in respect of a share of Common Stock at any date herein specified, the price at which a share of Common Stock may be purchased pursuant to this Warrant on such date. On any such date, such price shall equal the following: (a) if there occurs an Initial Public Offering of the Common Stock by such date, then the lesser of (i) the Initial Public Offering Price of the Common Stock and (ii) the Non-IPO Price; or (b) if an Initial Public Offering of the Common Stock does not occur by such date, then the Non-IPO Price, in each case subject to adjustment as provided herein; provided, however, that, notwithstanding anything to the contrary contained herein, the Applicable Warrant Price shall not be less than the par value of a share of Common Stock.
Applicable Warrant Price means the amount of consideration paid by ------------------------ the public per share of Common Stock in connection with the initial underwritten public offering of Common Stock (not subtracting any commissions, discounts or other expenses incurred in connection with such offering and the related underwriting).
Applicable Warrant Price means the Conversion Price (as defined in the Certificate of Designation) of the Series A Preferred Stock at the time at which it is converted pursuant to its terms.

Examples of Applicable Warrant Price in a sentence

  • If, however, the Applicable Warrant Price thus obtained would result in the issuance of a lesser number of shares upon conversion than would be issued at the initial Warrant Price, the Applicable Warrant Price shall be such initial Warrant Price.

  • Upon each adjustment of the Warrant Price pursuant to this subsection 3(b), the total number of shares of Common Stock for which this Warrant shall be exercisable shall be such number of shares (calculated to the nearest tenth) purchasable at the Applicable Warrant Price multiplied by a fraction, the numerator of which shall be the Warrant Price in effect immediately prior to such adjustment and the denominator of which shall be the exercise price in effect immediately after such adjustment.

  • No further adjustments of the Applicable Warrant Price shall be made upon the actual issue of Additional Shares of Common Stock upon exercise, conversion or exchange of such Convertible Securities.

  • The number of shares of Common Stock for which this Warrant is exercisable, or the price at which such shares may be purchased upon exercise of this Warrant, shall be subject to adjustment from time to time as set forth in this Article IV; provided, however, that, notwithstanding anything to the contrary contained herein, the Applicable Warrant Price shall not be less than the par value of a share of Common Stock.

  • As used in this Warrant, “Warrant Price” shall mean, with respect to any Share, the Applicable Warrant Price therefor as determined pursuant to this Paragraph A(2) and as adjusted from time to time in accordance with the provisions of this Warrant.

  • Upon the making of each Term Loan (as defined in the Loan Agreement) to the Company, this Warrant automatically shall become exercisable for such number of shares of the Class as shall equal (a)(i) [_____], multiplied by (ii) the amount of such Term Loan, divided by (b) the Applicable Warrant Price in effect on and as of the date of such Term Loan, subject to adjustment thereafter from time to time in accordance with the provisions of this Warrant.

Related to Applicable Warrant Price

  • Warrant Price as used in this Agreement shall mean the price per share at which shares of Common Stock may be purchased at the time a Warrant is exercised. The Company in its sole discretion may lower the Warrant Price at any time prior to the Expiration Date (as defined below) for a period of not less than twenty (20) Business Days, provided, that the Company shall provide at least twenty (20) days prior written notice of such reduction to Registered Holders of the Warrants and, provided further that any such reduction shall be identical among all of the Warrants.

  • Current Warrant Price means, in respect of a share of Common Stock at any date herein specified, the price at which a share of Common Stock may be purchased pursuant to this Warrant on such date.

  • Warrant Exercise Price means $0.04 per share.

  • Warrant Share Number means at any time the aggregate number of shares of Warrant Stock which may at such time be purchased upon exercise of this Warrant, after giving effect to all prior adjustments and increases to such number made or required to be made under the terms hereof.

  • Exercise Price means the initial exercise price or the adjusted exercise price, depending on the context.

  • Common Warrant Shares means the shares of Common Stock issuable upon exercise of the Common Warrants.

  • Warrant Shares means the shares of Common Stock issuable upon exercise of the Warrants.

  • Warrant Share Delivery Date shall have the meaning set forth in Section 2(d)(i).

  • Warrant Share means a Common Share issuable upon exercise of one Warrant;

  • Initial Warrant Exercise Date means __________, 1997.

  • Warrant Value means the fair value of all warrants, options and other similar rights issued to a third party in connection with an Other Financing, determined by using a standard Black-Scholes option-pricing model using an expected volatility percentage as shall be mutually agreed by the Investor and the Company. In the case of a dispute relating to such expected volatility assumption, the Investor shall obtain applicable volatility data from three investment banking firms of nationally recognized reputation, and the parties hereto shall use the average thereof for purposes of determining the expected volatility percentage in connection with the Black-Scholes calculation referred to in the immediately preceding sentence.   • Conversion Price shall have the meaning set forth in Section 4(b).

  • New Conversion Price means the amount determined in accordance with the following formula, which shall apply from the QTE Effective Date: NCP = ECP * (VWAPAES / VWAPOS) where:

  • Warrant Consideration has the meaning specified in Section 4(i)(i) hereof.

  • Applicable Conversion Price means the Conversion Price in effect at any given time.

  • Initial Conversion Price has the meaning specified in Section 13.01.

  • Purchase Option Price means the amount payable by a Lessee upon the exercise of its option to purchase a related Vehicle which amount equals (a) with respect to a Matured Vehicle, the Contract Residual Value plus any fees, taxes and other charges imposed in connection with such purchase and (b) with respect to a related 2011-1 Vehicle for which the related 2011-1 Lease has been terminated early by the Lessee, the sum of (i) any unpaid Monthly Payments due, (ii) any fees, taxes and other charges imposed in connection with the related Lease, (iii) an early termination fee and (iv) the Actuarial Payoff.

  • Warrant Purchase Price shall have the meaning ascribed to such term in Section 2.1(b).

  • Warrant Securities means this Warrant and the Warrant Shares, collectively.
