Aggregate Claim Amount definition

Aggregate Claim Amount has the meaning given to it in Section 8.5(b).
Aggregate Claim Amount means, at any date of determination, the aggregate amount of (a) Losses for Indemnification Claims that have been resolved in favor of Acquiror and any other Indemnified Parties from the Closing Date through such date in accordance with the terms of this Agreement and the Indemnity Escrow Agreement, plus (b) Acquiror’s reasonable good faith estimate of Losses, as determined in accordance with Section 7.3(a), for all Indemnification Claims that have been timely asserted and not resolved as of such date.
Aggregate Claim Amount means, at any date of determination, the aggregate amount of (a) Losses for Indemnification Claims that have been resolved in favor of Acquiror and any other Acquiror Indemnified Parties from the Closing Date through such date in accordance with the terms of this Agreement and the Escrow Agreement, as agreed in writing by the Stockholder Representative and Acquiror, or as otherwise finally settled or adjudicated and not subject to appeal or further proceedings, plus (b) Acquiror’s reasonable good faith estimate of Losses, as determined in accordance with Section 7.4(a), for all Indemnification Claims that have been timely asserted and not resolved as of such date.

BCBSAZ uses the Allowed Amount to accumulate toward any Out-of-pocket Coinsurance Maximum or Out-of-pocket Maximum that applies to the member’s Benefit Plan. The Allowed Amount does not include any balance bills from noncontracted Providers. The Allowed Amount is neither tied to, nor necessarily reflective of, the amounts Providers in any given area usually charge for their services.   • Aggregate Principal Amount means, as of any date of calculation, the principal amount or Accreted Value of the Bonds referred to.

The Company’s and Subsidiary Guarantors’ obligations to contribute pursuant to this Section 8(d) are joint and several. The indemnity and contribution agreements contained in this Section 8 are in addition to any liability that the Indemnifying Parties may have to the Indemnified Parties.

  • Total Commitment Amount means, at any particular time, the aggregate of the Individual Commitments of all of the Lenders at such time.
